Job Description
Description We are looking for an experienced SEC Compliance Manager/Director to oversee external financial reporting and ensure compliance with SEC regulations. Based in Fremont, California, this role is pivotal in maintaining accurate and timely filings, managing audits, and addressing technical accounting matters. The ideal candidate will bring expertise in financial reporting and a deep understanding of US GAAP standards.
Responsibilities:
- Oversee the preparation and submission of SEC filings, including 10-K and 10-Q reports, ensuring accuracy and compliance with regulations.
- Conduct research and provide documentation for complex accounting transactions such as mergers, acquisitions, and stock compensation arrangements.
- Manage equity accounting processes and track equity transactions to ensure proper reporting.
- Lead the implementation of process improvements to enhance the efficiency and quality of financial reporting.
- Act as the primary liaison with external auditors during quarterly reviews and annual audits.
- Maintain and update internal policies to ensure effective internal controls over external financial reporting.
- Analyze competitor filings and industry trends to enhance disclosure practices.
- Prepare and review quarterly financial statements, including cash flow statements and earnings per share calculations.
- Support the creation of presentations for senior management and Audit Committee meetings.
- Monitor compliance with Sarbanes-Oxley requirements and collaborate with auditors during testing phases. Requirements
- Bachelor's degree or higher in accounting or finance.
- CPA certification or equivalent qualification is required.
- Minimum of 7 years of relevant experience, with at least 2-3 years in a Big 4 public accounting firm.
- Extensive knowledge of US GAAP principles and SEC reporting regulations.
- Proven ability to research complex accounting issues and draft clear, well-documented conclusions.
- Exceptional organizational and project management skills to handle multiple priorities effectively.
- Strong analytical abilities and attention to detail to ensure accuracy in reporting and compliance.
- Proficiency in Microsoft Office applications and familiarity with SEC tagging services.
