Deal Execution Lead Osborne HomeCare Group | Based in Chesterfield, MO | Remote / Hybrid Opportunity $125,000-$175,000/year, commensurate with experience About Us Osborne HomeCare Group is a national, founder-operated boutique M&A firm specializing in change-of-ownership transactions for agencies that provide personal in-home care for older and disabled adults. We work with sellers, buyers, and strategic planners, providing business valuations, exit planning, sale preparation, and deal execution. Our six-person team is close-knit, mission-driven, and deeply engaged in a high-growth, meaningful industry. The Role We're looking for an experienced M&A transaction professional with a strong accounting and financial analysis background to lead transactions from Letter of Intent (LOI) through closing. This is a hands-on role responsible for managing the financial and operational aspects of each transaction while coordinating with buyers, sellers, attorneys, SBA lenders, CPAs, and other transaction professionals. A key focus will be analyzing and normalizing financial information, supporting third-party Quality of Earnings (QofE) analysis, and preparing financial information for SBA financing and lender due diligence. This is an opportunity for a highly experienced accounting or finance professional to take ownership of the transaction process and play a critical role in successfully closing franchise home care M&A transactions. What You'll Do Lead M&A transactions from LOI through closing, managing timelines, deliverables, and key milestones Lead transaction execution by orchestrating interdependent workstreams associated with SBA financing, legal close, franchisor approvals, licensure transfers, and payor transitions, ensuring activities occur in the required sequence to support successful and compliant deal closure Coordinate due diligence across buyers, sellers, attorneys, SBA lenders, CPAs, and other transaction advisors Demonstrate sound judgment in assessing stakeholder engagement, identifying early indicators of risk or misalignment, and escalating concerns when appropriate to prevent transaction delays or breakdowns Analyze and reconcile financial statements, tax returns, and other financial records to assess financial performance and identify discrepancies Retrieve, assess, and interpret data from multiple reporting systems to evaluate relevance, identify gaps, and ensure requested information effectively supports business decision-making Extract and reconcile data from reporting platforms, applying business knowledge and critical thinking to determine whether the resulting information satisfies stakeholder requirements and reporting objectives Support QofE analysis and financial requirements for SBA lenders, buyers, valuation professionals, and other transaction stakeholders Prepare transaction models, working capital analyses, purchase price calculations, and other deal-related financial analyses Review LOIs, term sheets, purchase agreements, and other transaction documents from a financial perspective Manage transaction documentation, schedules, and closing deliverables Communicate directly with clients and transaction counterparties, monitoring stakeholder interactions and deal momentum, proactively identifying potential obstacles, and communicating meaningful concerns to transaction owners in a timely and actionable manner What We're Looking For Bachelor's degree in Accounting, Finance, Business, or related field (required) 7+ years of experience in accounting, financial analysis, transaction advisory, M&A, investment banking, public accounting, or a related field Strong accounting and financial analysis skills, with experience analyzing financial statements, tax returns, cash and accrual accounting, and general ledgers SBA transaction or lending experience a plus Advanced Excel and strong Microsoft Office skills; QuickBooks experience a plus Exceptional attention to detail and ability to identify financial discrepancies and issues Strong project management, communication, and client relationship skills Ability to manage multiple transactions and deadlines independently Strong ability to communicate complex financial concepts to business owners and other non-financial stakeholders
