Job Description
Position OverviewWe are seeking a Junior Corporate Law Attorney to join our growing Corporate Practice Group. This role offers hands-on experience supporting partners and senior attorneys on a variety of corporate and transactional matters while developing practical skills in a collaborative, client-focused environment. Ideal candidates will have at least one year of experience (preferably in corporate law or M&A), though we will also consider recently barred attorneys admitted in Pennsylvania who demonstrate strong academic credentials, motivation, and interest in corporate practice.
Key ResponsibilitiesAssist with mergers and acquisitions, including due diligence, drafting and reviewing purchase agreements, disclosure schedules, and related transaction documents.
Support entity formation, governance, restructurings, and ongoing corporate maintenance for clients ranging from startups to established businesses.
Draft, review, and negotiate commercial contracts, including service agreements, NDAs, employment-related agreements, and vendor contracts.
Conduct legal research and prepare memoranda on corporate, securities, and transactional issues.
Assist with business succession planning and related advisory work.
Coordinate with clients, opposing counsel, and internal teams; manage deal timelines and closing processes under partner supervision.
Contribute to other corporate and general business matters as needed.
QualificationsJ.D. from an accredited law school.
Admission to the Pennsylvania Bar (or eligibility and commitment to sit for the next exam if not yet admitted).At least one year of legal experience preferred, ideally in corporate law, mergers & acquisitions, or transactional practice. Recently barred attorneys with strong interest in corporate work and relevant coursework, clinics, or internships will be considered.
Strong research, writing, and analytical skills.
Excellent attention to detail, organizational abilities, and ability to manage multiple priorities in a fast-paced environment.
Professional demeanor, strong interpersonal skills, and a client-service orientation.
Ability to work collaboratively in a team setting while also taking initiative.
