Job Description

We are looking for an experienced Private Equity Attorney to support an in-house legal team within the financial services industry in La Jolla, California. This contract opportunity is well suited for a lawyer who has worked in a large law firm environment and brings strong experience with private equity fund documentation. The role centers on high-volume review of subscription materials, identifying eligibility issues, and providing clear legal comments to help ensure investor participation aligns with fund requirements.
Responsibilities:
  • Review subscription agreements and related investor documents for private equity funds with a focus on completeness, accuracy, and compliance with fund criteria.
  • Analyze investor eligibility against offering requirements and applicable legal standards to confirm that only eligible participants are admitted.
  • Record legal comments, issue notes, and recommended revisions within subscription packages to support timely resolution of deficiencies.
  • Manage a steady pipeline of repetitive, document-intensive work while maintaining close attention to detail and consistency in review quality.
  • Partner with internal legal and fund teams to clarify documentation issues and help move investor files toward completion.
  • Examine supporting materials tied to fund formation and capital commitments to identify missing information or legal concerns.
  • Apply knowledge of private equity and venture capital structures when assessing investor documentation and subscription terms.
  • Contribute to legal review processes by flagging exceptions, escalations, and patterns that may require further attorney analysis.
