Description We are looking for an accomplished attorney to join a client-focused Services team in Stamford, Connecticut, advising clients on sophisticated private fund and investment management matters. This position is suited for a senior attorney who can guide fund sponsors through structuring decisions, investor-facing documentation, and regulatory considerations with confidence. The role offers the opportunity to take ownership of high-value matters while building trusted client relationships and supporting the growth of a collaborative practice.

Responsibilities:

• Direct the formation, reorganization, and revision of private investment vehicles, managing matters from initial structuring through closing.
• Counsel fund sponsors on offering terms, investor discussions, and legal considerations affecting fund launch and ongoing operations.
• Prepare and negotiate core fund documents, including offering materials, governing agreements, subscription packages, and side arrangements.
• Provide guidance on securities regulations and compliance issues relevant to private funds and investment advisers.
• Evaluate and negotiate co-investment terms and documentation requested by institutional participants and strategic investors.
• Oversee the work of entry-level attorneys and support staff, offering direction, feedback, and career development.
• Strengthen client relationships through responsive legal counsel and contribute to practice growth through business development efforts Requirements
• Juris Doctor from an accredited law school and eligibility to practice law in the applicable jurisdiction.
• At least 7 years of experience handling private investment fund formation and investment management matters.
• Deep knowledge of fund structures, market terms, and legal frameworks governing private funds.
• Demonstrated ability to draft and negotiate complex transactional and investor-related documentation.
• Strong leadership skills with experience managing sophisticated legal matters independently.
• Excellent client advisory, communication, and relationship management capabilities.
