Job Description:
Our Client is a leading global investment management firm and is seeking a Asset Management Counsel to join its legal team. This individual will play a key role advising across portfolio management and capital development functions, working closely with senior leadership and business stakeholders. This is a highly visible position offering the opportunity to operate at the intersection of legal, investments, and strategic growth initiatives. About the Role The Asset Management Counsel will serve in a lead legal capacity, supporting a broad range of matters related to portfolio manager lifecycle management and fund/investor functions. The role requires an Asset Management Attorney who can navigate complex legal issues while partnering closely with investment, capital development, and executive teams. Responsibilities Draft, review, and negotiate a wide range of agreements, including investment management agreements, employment-related agreements, and other portfolio manager documentation Lead legal aspects of portfolio manager onboarding and offboarding processes Support all phases of fund formation and capital development initiatives Prepare, review, and negotiate fund documentation, including side letters and placement agent agreements Manage and maintain side letter processes and related documentation Assist with investor communications and legal inquiries Advise on strategic transactions, including private equity investments, financing arrangements, and regulatory matters Partner closely with senior leadership and cross-functional teams, including investment, finance, and business development Oversee and manage external counsel and other legal advisors Qualifications J.D. from an accredited law school and active bar admission 8-10+ years of experience in investment management, funds, or asset management law Strong experience with fund formation, investor negotiations, and related legal frameworks Excellent drafting, negotiation, and analytical skills Ability to manage multiple priorities in a fast-paced, high-demand environment Strong interpersonal and communication skills, with the ability to work across all levels of an organization Proven ability to work both independently and collaboratively
