Job Description The Associate Counsel will support their legal needs across real estate, financing, and data center development activities. This role provides transactional support for property acquisitions, leasing, financing, construction, and operational matters. The attorney will collaborate closely with internal teams and external partners to ensure timely, compliant, and business‑aligned execution of all legal documents and processes.

RESPONSIBILITIES

• Draft, review, and negotiate real estate documents including purchase agreements, leases, development agreements, and related transactional materials.
• Support financing transactions, including loan documents, credit facilities, security instruments, and lender due diligence.
• Assist with data center development matters such as power procurement, utility agreements, and infrastructure‑related contracts.
• Conduct legal due diligence for acquisitions, leasing, and development projects, including title, survey, zoning, and environmental review.
• Review and advise on customer lease terms and conditions; identify risks, propose solutions, and support negotiation strategy.
• Coordinate with internal teams to resolve transactional issues and advance project timelines.
• Maintain organized contract files, closing binders, and legal documentation throughout the project lifecycle.
• Prepare periodic reports, summaries, and legal analyses for internal stakeholders.
• Ensure compliance with company policies, regulatory requirements, and industry standards.
• Identify opportunities to improve contract templates, processes, and legal workflows.
• Communicate clearly and effectively with internal teams, external partners, and customers.

• Juris Doctor (J.D.) from an accredited law school; active membership in at least one U.S. state bar, required.
• 3-6 years of experience in commercial real estate, financing, and/or data center‑related transactions, required.
• Experience drafting and negotiating complex transactional documents.
• Experience identifying legal risk and collaborating with business teams to resolve issues.
• Experience working with lenders, developers, utilities, and/or data center operators is a plus.

Proficiency with Microsoft Word, Excel, SharePoint, and Teams. NA Salary - 180-200K Base with Bonus
