Description We are looking for an experienced Attorney/Lawyer to support executive leadership on a broad range of legal matters across corporate transactions, financing arrangements, real estate interests, and portfolio company operations in Deerfield, Illinois. This Long-term Contract position offers the opportunity to guide legal strategy for a growing holding company platform while advising on active and future acquisitions. The role will play a central part in strengthening legal oversight, reducing risk exposure, and coordinating outside counsel to support business growth.

Responsibilities:

• Advise senior leadership on legal considerations affecting corporate governance, business transactions, financing activities, and real estate matters.
• Shape and maintain a practical legal framework that supports enterprise strategy while identifying and addressing potential areas of risk.
• Lead legal support for mergers, acquisitions, and related business combinations from early review through closing activities.
• Organize and direct acquisition due diligence efforts, including tracking legal issues, reviewing documentation, and helping resolve identified concerns.
• Oversee the work of external law firms and specialty counsel to ensure timely, cost-effective, and business-focused legal support.
• Provide legal coordination across the holding company and its portfolio businesses to promote consistency in decision-making and compliance.
• Support restructuring and financing matters tied to childcare and commercial real estate investments as business needs evolve.
• Help establish scalable legal processes and governance structures designed to support future acquisitions and portfolio growth.

The pay range for this position is 70 to 90 based on expeirence. Benefits available to contract/contract professionals, include medical, vision, dental, and life and disability insurance. • Active license to practice law and demonstrated experience serving in an attorney or legal counsel capacity.
• Background handling corporate, transactional, and financing matters in a business-focused legal environment.
• Experience supporting mergers and acquisitions, including due diligence, issue identification, and transaction documentation.
• Familiarity with legal matters involving commercial real estate and corporate structuring.
• Ability to manage outside counsel and coordinate legal work across multiple business entities or stakeholders.
• Strong drafting, briefing, and analytical skills with the ability to communicate legal guidance clearly to executive audiences.
• Knowledge of litigation-related processes such as motions and discovery is valued.
• Proven judgment, organization, and attention to detail in managing complex legal priorities.
