Job Description

Transactional Associate Attorney Hybrid Flexibility Available Attorneys who enjoy helping businesses navigate growth, transactions, and day-to-day legal challenges are encouraged to explore this opportunity. A Chicago-area law firm is seeking a Transactional Associate Attorney with 2+ years of experience to support a diverse business law practice serving companies, entrepreneurs, investors, and business owners across a variety of industries. This role offers the opportunity to work directly with clients on a broad range of corporate and transactional matters, including business formation, contract negotiation, mergers and acquisitions, corporate governance, commercial agreements, and general business counseling. The ideal candidate is looking for increased responsibility, meaningful client interaction, and the opportunity to develop into a trusted business advisor. Responsibilities Draft, review, and negotiate a variety of business and commercial agreements. Assist with mergers, acquisitions, asset purchases, and other business transactions. Advise clients on corporate governance and organizational matters. Support entity formation, restructuring, and dissolution matters. Conduct due diligence reviews and assist with transaction management. Prepare corporate documents, resolutions, operating agreements, and shareholder agreements. Work directly with clients to identify legal risks and develop practical business solutions. Collaborate with attorneys across multiple practice areas on complex transactions and business matters. Qualifications J.D. from an accredited law school. Active Illinois bar license in good standing. 2+ years of experience in corporate, business, transactional, or commercial law. Strong drafting, negotiation, and analytical skills. Experience reviewing and preparing contracts and corporate documents. Ability to manage multiple projects and deadlines effectively. Excellent communication and client relationship skills. Desire to take on increasing levels of responsibility and client contact. What the Firm Offers Competitive base salary and bonus potential.
