Job Description
We are looking for an experienced Corporate M&A Attorney to join a growing legal practice in New York. This opportunity is well suited for a lawyer who enjoys handling sophisticated business transactions, partnering closely with leadership teams, and delivering practical counsel to a diverse client base that includes middle-market, closely held, and multinational companies. The role offers meaningful ownership of matters in a collaborative environment that values sound judgment, initiative, and long-term career growth.
Responsibilities:
- Lead the execution of mergers, acquisitions, and other strategic corporate matters, guiding transactions from initial planning through closing and follow-up activities.
- Prepare, review, and negotiate principal deal documents with careful attention to legal risk, business objectives, and transaction structure.
- Oversee due diligence processes, organize key findings, and help shape transaction terms based on commercial and legal considerations.
- Advise clients on corporate governance, ownership issues, and day-to-day business matters affecting privately held companies and their stakeholders.
- Provide counsel on privacy, data protection, and related regulatory concerns that may arise during transactional work.
- Direct communications with clients, opposing counsel, and outside advisors while offering commercially grounded recommendations throughout the deal cycle.
- Supervise and support attorneys and legal staff, helping develop talent while maintaining high-quality work product.
- Contribute to practice development and internal operational improvements by identifying opportunities to enhance efficiency and collaboration.
