Corporate/Real Estate Attorney Metro West Law Firm Needham Heights, MA Job Details Full-time $130,000 - $200,000 a year 6 hours ago Benefits Health insurance Dental insurance 401(k) Paid time off Vision insurance Life insurance Qualifications Law Legal writing Business formation Collaboration with legal team Contract management experience in legal services Full Job Description We are seeking a highly motivated and commercially minded attorney with 3 -8 years of legal experience in corporate, transactional and real estate matters to join our organization. The attorney will play an important role in supporting the Partners and its clients with a broad range of corporate, real estate, transactional, contract, entity management and business matters. The ideal candidate will have strong legal drafting and negotiation skills, excellent business judgment, and the ability to manage matters independently while working closely with owners, and senior management clients, outside counsel, lenders, investment bankers, brokers, and other professionals. This position is particularly suited for an attorney who enjoys working in a business oriented environment and wants substantial exposure to sophisticated business and real estate investments , ownership structures, transactions and on going portfolio management. Key Responsibilities
  • Advise on the formation, governance, and on going operation of corporations, LLCs, partnerships, trusts and other profit and non profit entities.
  • Draft and review operating agreements, shareholder agreements, partnership agreements, asset purchase agreements, stock purchase agreements, resolutions, consents, organizational documents, and other corporate records
  • Assist with corporate acquisitions, purchases, restructurings, reorganizations, mergers, and dispositions
  • Advise the owners or senior management regarding corporate governance, fiduciary duties, authority and risk management
  • Draft, review and negotiate purchase and sale agreements, leases, amendments, assignments , management agreements and other real estate documents
  • Draft review and negotiate commercial contracts and agreements
  • Identify and assess legal and business risks associated with transactions
  • Assist on structuring transactions to achieve the company's business and investmenet objectives
  • Conduct legal due diligence and prepare transaction summaries and risk assessments
Pay:
$130,000.00 - $200,000.00 per year
