full-time Junior Corporate Associate Baltimore, Maryland $225,000 - $250,000 + discretionary bonus The Opportunity A leading national law firm is seeking a Corporate Associate to join its Baltimore office. This is an excellent opportunity for a junior transactional attorney looking to develop a broad corporate practice rather than becoming restricted to one narrow transaction type. The successful attorney will advise businesses, investors and financial institutions across corporate and commercial transactions, with particular exposure to acquisitions, debt and equity financings and restructuring matters. The Role The attorney will work across matters including: Mergers and acquisitions. Asset and stock acquisitions and dispositions. Debt financing transactions. Equity financings. Loan restructurings. Corporate governance. Entity formation and restructuring. Commercial agreements. Purchase and sale agreements. Financing documentation. Legal due diligence. Transaction signing and closing processes. General corporate counseling. Advising public and privately held businesses. Working directly with clients, opposing counsel and other professional advisers.

The Candidate Candidates should have:

At least 2 years of corporate and commercial transactional experience. Experience with M&A or acquisitions. Exposure to debt and/or equity finance. Experience with loan restructuring would be advantageous. Strong transactional drafting skills. Excellent writing and analytical ability. Strong commercial judgment. Ability to work both independently and as part of a team. Confidence interacting directly with clients. A JD from an accredited US law school. Active Maryland Bar admission is required.
