  • Corporate Position Overview We are seeking a motivated Associate Attorney to join our corporate practice team.
The successful candidate will handle transactional matters including M&A, financings, private placements and commercial agreements, provide pragmatic legal advice to businesses, manage deal processes from diligence through closing, and support partner-led client relationships across New Jersey and Pennsylvania. Key Responsibilities Draft, review and negotiate a wide range of corporate agreements, including asset and stock purchase agreements, subscription agreements, shareholder agreements, and commercial contracts. Lead and support M&A transactions from initial engagement through due diligence, documentation and closing. Advise clients on financing transactions, private placements, and capital raising, and prepare related offering documents and compliance filings. Conduct legal due diligence and prepare diligence reports, issue lists and transaction summaries. Provide counsel on corporate governance matters, entity formation, restructurings and post-closing integrations. Coordinate with tax, regulatory and finance teams both internally and with external advisors to manage multi-disciplinary deal issues. Manage client communications, maintain client relationships, and support business development and pitching efforts. Supervise and mentor junior attorneys, associates and paralegals and review their work for quality and compliance. Maintain accurate time and billing records, and ensure adherence to firm policies and ethical rules. Qualifications Juris Doctor (JD) from an accredited law school. Admission to the New Jersey Bar and/or Pennsylvania Bar required; admission to both NJ and PA Bars preferred. 8+ years of corporate transactional experience; candidates with 36 years of experience in M&A, financings or private placements strongly preferred. Demonstrated experience with M&A, corporate finance, private placements, and commercial agreements. Strong drafting and negotiation skills and attention to detail. Practical business sense and ability to explain complex legal issues to clients in clear, commercial terms. Excellent interpersonal, project management and organizational skills; ability to manage multiple matters and meet deadlines. Proficiency in legal research and common document management tools; experience with due diligence platforms a plus. Commitment to professional ethics and maintaining client confidentiality.
