Corporate Attorney (Up to Partner Level) Corporate Attorney Position Overview We are seeking a skilled Corporate Attorney to provide practical, business-focused legal counsel across corporate transactions, governance, and commercial matters. The role will support mergers and acquisitions, corporate formations, succession planning, securities and corporate finance matters, and the drafting and negotiation of contracts and agreements. The successful candidate will combine strong technical legal knowledge with commercial judgment to protect the company's interests while enabling growth and strategic initiatives. -Please note this is not an in house position. Key Responsibilities Advise on and lead legal work for mergers, acquisitions, divestitures, joint ventures and strategic investments, including due diligence, documentation and closing processes. Draft, review and negotiate a broad range of commercial contracts, purchase and sale agreements, shareholder and investor agreements, financing documents and other transactional agreements. Provide counsel on corporate formation, structure, capitalization, equity issuances, securities compliance and corporate finance matters. Support corporate governance activities, including board and committee meetings, minute preparation, corporate records maintenance and implementation of governance best practices. Develop and implement succession planning and equity incentive strategies, advising on legal, tax and regulatory implications. Coordinate cross-functional teams (finance, tax, HR, compliance and business units) to align legal strategy with business objectives and mitigate risk. Conduct legal research and provide clear, practical guidance on statutes, regulations and case law affecting corporate operations and planned transactions. Manage external counsel relationships, control outside counsel budgets, and oversee delegated matters to ensure quality, efficiency and cost-effectiveness. Identify legal and regulatory risks, develop mitigation strategies and implement policies and procedures to support compliance and operational resilience. Qualifications Juris Doctor (J.D.) degree from an accredited law school and admission to PA and/or NJ bar. 5+ years of experience in corporate law with proven experience in mergers and acquisitions, securities, corporate finance and commercial contracting (in-house or law firm). Demonstrated experience with corporate formation, governance, equity issuances, and shareholder or investor negotiations. Strong drafting and negotiation skills with a track record of preparing complex transactional documents and agreements. Solid understanding of securities laws, compliance obligations and regulatory filings relevant to corporate transactions. Experience coordinating cross-functional teams and working closely with business stakeholders, finance and tax professionals. Excellent analytical, communication and problem-solving skills, with the ability to present legal issues in clear, business-oriented terms. High attention to detail, strong organizational skills and ability to manage multiple matters and priorities under tight deadlines.
Preferred:
experience with succession planning and equity incentive structures; prior in-house corporate counsel experience; familiarity with international transactions and multi-jurisdictional issues.
