POSITION SUMMARY

The Deputy General Counsel serves as a senior legal executive and strategic partner to the Chief Legal Officer. The position provides legal counsel across the health system and its affiliated entities, supporting complex healthcare operations, business initiatives, transactions, governance activities, and regulatory compliance. The Deputy General Counsel acts as a key advisor to executive leadership and operational management on legal, regulatory, risk management, and strategic matters while overseeing the day-to-day operations of the Legal Department. The Deputy General Counsel may serve in place of the Chief Legal Officer when designated and supervises legal staff, managing outside counsel, and coordinating enterprise legal services. This role is the second-ranking attorney within the legal department. Essential Responsibilities Strategic Legal Counsel Provides legal advice to executive leadership regarding strategic, operational, clinical, financial, and administrative initiatives as assigned. Analyzes legal risks associated with proposed business activities and develops practical solutions that advance organizational objectives. Supports major health system initiatives, affiliations, partnerships, acquisitions, joint ventures, and physician alignment strategies as assigned. Healthcare Regulatory Compliance Advises on federal and state healthcare laws and regulations, including: Medicare and Medicaid requirements Stark Law Anti-Kickback Statute HIPAA, Healthcare privacy and security requirements EMTALA Conditions of Participation Licensing and accreditation matters Provides counsel regarding regulatory investigations, surveys, and governmental inquiries. Transactions and Contracting Structures, drafts, reviews, and negotiates sophisticated agreements and transactions. Supports physician arrangements, vendor agreements, managed care contracts, technology transactions, real estate transactions, and strategic partnerships. Advises business leaders regarding contract interpretation and dispute resolution. Litigation and Risk Management Oversees and coordinates litigation and claims matters in conjunction with internal stakeholders and outside counsel. Assists with professional liability, employment, commercial, and regulatory matters. Supports enterprise risk management initiatives and significant claim resolution strategies. Legal Department Leadership Supervises attorneys, paralegals, and other staff as assigned. Manages relationships with outside counsel and legal service providers Develops legal policies, procedures, and operational improvements. Assists in departmental budgeting, staffing, and strategic planning. Executive Collaboration Partners with and provides counsel to leaders across operations, compliance, finance, information technology, supply chain, physician services, human resources, and clinical divisions. Translates complex legal requirements into practical operational guidance. This position supports organizational goals by providing quality customer service, participating in performance improvement efforts and demonstrating a commitment to teamwork and cooperation. The Deputy General Counsel operates under the practices and policies of the Organization and ensures ethical standards are applied in all legal matters.

QUALIFICATIONS EDUCATION

Juris Doctor Degree and a licensed member of the Bar of the State of New Jersey required.

EXPERIENCE

Minimum 10 years of progressively responsible legal experience. Significant experience in healthcare law, healthcare operations, or representation of hospitals, health systems, or healthcare organizations. Prior in-house health system experience preferred.

WORK ENVIRONMENT

This position is on on-site position. It requires primarily mental exertion with a moderate amount of walking and standing, in addition to visual acuity for reading and computer work. Some travel may be required. This position requires desk/computer work a majority of the time. This position may require occasional lifting up to 20 pounds required.
