Job Description

Position Overview We are seeking an experienced Corporate / Transactional / M&A Attorney to join its growing corporate practice. This attorney will work directly with business owners, founders, executives, investors, and other stakeholders on mergers and acquisitions, corporate transactions, commercial agreements, and general business matters. The ideal candidate is a strong transactional attorney who understands how to move a deal from initial structuring and diligence through negotiation and closing. This person should be comfortable taking ownership of matters, communicating directly with clients, and providing practical legal advice that considers the client's broader business objectives. Responsibilities Represent clients in buy-side and sell-side mergers and acquisitions, including asset purchases, stock and equity purchases, mergers, and other strategic transactions Manage transactions throughout the full deal lifecycle, including structuring, due diligence, drafting, negotiation, closing, and post-closing matters Draft, review, and negotiate purchase agreements, letters of intent, disclosure schedules, ancillary agreements, and other transaction documents Counsel business owners, founders, executives, and investors regarding corporate transactions and day-to-day business matters Draft and negotiate commercial agreements including service agreements, vendor agreements, consulting agreements, licensing agreements, NDAs, and other business contracts Advise clients regarding business formations, entity structuring, corporate governance, ownership arrangements, and equity matters Draft and review operating agreements, shareholder agreements, buy-sell agreements, resolutions, consents, and other corporate documents Coordinate and oversee transaction due diligence and manage deal processes, documentation, and closing requirements Identify legal and business risks and translate complex issues into clear, practical recommendations for clients Work directly with clients, opposing counsel, accountants, financial advisors, and other transaction participants to keep deals moving efficiently Manage multiple transactions and client matters simultaneously while maintaining strong attention to detail and responsiveness Develop trusted, long-term relationships with clients and serve as a practical legal resource for their ongoing business needs Qualifications JD from an accredited law school Admission and good standing with the New York and/or New Jersey Bar Approximately 4-8+ years of corporate, transactional, and M&A experience Meaningful experience handling mergers and acquisitions and other business transactions Strong drafting and negotiation skills with experience preparing and reviewing transaction documents Experience with corporate governance, entity formation, commercial contracts, and general business matters Ability to independently manage significant portions of transactions and work directly with clients Strong understanding of the business considerations underlying corporate transactions Excellent written and verbal communication skills Highly organized with the ability to manage multiple active matters and deadlines Practical, solutions-oriented approach to legal counseling Collaborative personality and ability to thrive in an entrepreneurial, growing law firm environment Ideal Background The strongest candidate will have developed a solid transactional foundation at a law firm with an active corporate or M&A practice and is looking for an environment offering greater client exposure, deal ownership, and responsibility. Experience representing privately held and founder-owned businesses in lower-middle-market transactions is particularly relevant. Candidates should be comfortable working on both the technical legal aspects of transactions and the practical business issues that arise throughout a deal. Pay:
$150,000.00 - $250,000.00 per year
