Job Description

Description This position is for a corporate generalist with health law experience who can address legal issues from a commercial perspective. Primary responsibilities include drafting and negotiating contracts of many types and counseling internal clients on a broad range of business, compliance, healthcare and regulatory (Federal and State) matters. The Sr Corporate Counsel will serve as a key strategic partner to our Commercial team.
Salary Range:
$190,000 to $230,000/year + 25% Annual Incentive Plan + LTI Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications obtained. Market and organizational factors are also considered. Successful candidates may be eligible to receive annual performance bonus compensation.

  • Career advancement opportunities Responsibilities Draft, review, and negotiate a wide range of commercial agreements including: MSAs and related SOWs, DPAs/BAAs, reseller and collaboration agreements, and data licensing.
Lead complex, multi-threaded negotiations with enterprise customers and strategic partners; balance risk with business velocity and articulate practical paths to signature. Advise sales, channels, product, security, finance, and procurement on commercial strategy, legal risk, privacy, and compliance; provide clear, practical guidance under tight timelines. Continuously improve (not build from scratch) contract templates, fallback positions, and negotiation playbooks; streamline approvals and escalations to reduce cycle time. Manage outside counsel on overflow and specialized matters; ensure quality and cost discipline Qualifications The ideal candidate will possess a solid understanding of the health care industry and applicable laws and regulations impacting health care providers, and exceptional transactional skills.
Desirable experience includes:
A Doctor of Jurisprudence (J.D.) is required Minimum of seven years' experience as a practicing attorney Eligible to practice in your applicable state of residence Experience drafting and negotiating complex commercial health care agreements Experience dealing with government and commercial health plans and reimbursement issues Experience drafting and negotiating complex commercial health care agreements Experience handling Medicare or Medicaid billing issues Representation of health care providers and/or plans Healthcare industry experience and familiarity with HIPAA, fraud and abuse and STARK laws Experience developing procedures and protocols for contract reviews Experience using Artificial Intelligence for contracting and research
