Comprehensive Benefits Package About Us Eye Centers of America, LLC is a growing multi-location ophthalmology and medical practice dedicated to providing exceptional patient care. We are seeking an experienced and highly motivated In-House Counsel to join our executive team. This individual will provide legal guidance across all aspects of the organization while helping minimize risk and support strategic business initiatives. Position Summary The In-House Counsel will serve as the primary legal advisor for Eye Centers of America, LLC. The ideal candidate will possess strong business judgment, exceptional contract drafting and negotiation skills, and experience advising healthcare organizations on a broad range of legal matters. Essential Responsibilities Draft, review, negotiate, and manage contracts, including: Physician employment agreements Vendor and service agreements Non-disclosure agreements (NDAs) Business Associate Agreements (BAAs) Independent contractor agreements Management and consulting agreements Review, negotiate, and draft commercial real estate leases and lease amendments. Provide legal guidance on healthcare regulatory compliance, including HIPAA, Stark Law, Anti-Kickback Statute, and applicable federal and state healthcare regulations. Advise executive leadership on legal risks associated with business operations and strategic initiatives. Support mergers, acquisitions, practice affiliations, and corporate transactions. Assist with corporate governance, entity management, and organizational compliance. Coordinate with outside counsel on litigation, employment matters, and specialized legal issues when appropriate. Review policies and procedures to ensure legal and regulatory compliance. Provide legal support for employment-related matters, including employee relations, restrictive covenants, disciplinary actions, and policy interpretation. Manage risk and assist with dispute resolution before litigation when possible. Stay current on changes in healthcare laws and regulations affecting medical practices. Qualifications Juris Doctor (J.D.) degree from an accredited law school. Active license to practice law in New Jersey (or ability to become licensed promptly). Minimum of 3 years of legal experience, preferably with healthcare organizations, medical groups, hospitals, or healthcare law firms. Strong knowledge of healthcare regulations and corporate law. Experience drafting and negotiating complex commercial contracts. Familiarity with employment law, commercial leasing, corporate governance, and risk management. Excellent communication, negotiation, and problem-solving skills. Ability to work independently while collaborating with executive leadership. Preferred Qualifications Experience representing physician practices, ambulatory surgery centers, or multi-site healthcare organizations. Experience with healthcare transactions, acquisitions, and compliance programs. Familiarity with medical billing, reimbursement, and payer contracting issues.
