Job Description
Job Summary Capell Barnett Matalon & Schoenfeld seeks a motivated Tax Associate to join its tax practice based in Syosset, NY and in Manhattan. The attorney will work with partners and senior attorneys on a broad range of federal and state tax matters for individuals, closely held businesses, corporations, partnerships, LLCs, estates, trusts, tax-exempt organizations, and other clients. This is an excellent opportunity for a junior attorney with strong research, writing, and analytical skills to develop hands-on experience in sophisticated tax planning, transactional tax, compliance, business succession, and controversy matters. Responsibilities Assist senior Tax attorneys with a variety of tasks including:
- Legal research and drafting client memoranda, correspondence, and tax-related documents
- Partnership, LLC, joint venture, and closely held business planning
- Mergers, acquisitions, reorganizations, recapitalizations, and debt restructurings
- Section 1031 like-kind exchanges, capital gain and loss planning, and tax basis issues
- Estate, gift, and generation-skipping transfer tax planning, as well as, charitable and business succession planning
- Federal, state, and local tax audits and compliance matters
- Offshore voluntary disclosure, Streamlined Filing Compliance Procedures, and non-willfulness analysis, including FBAR, Forms 8938, 5471, 8865, and 8621
- Business formation, choice-of-entity planning, and tax structuring
Qualifications:
- J.D. from an accredited law school (required), with strong academic history
- LL.M. in Taxation (required)
- Admission to the New York Bar (required, relocations will be considered)
- 0-2 years of relevant legal or tax-related experience
- Strong interest in tax planning, individual tax, partnership and corporate tax, transactional tax, and estate and gift tax
- Excellent research, writing, analytical, and communication skills
- Strong attention to detail and ability to manage multiple assignments
