Experienced Tax and Transactional Attorney Singerman, Mills, Desberg & Kauntz Co., L.P.A. (www.smdklaw.com) is a dynamic law firm in Beachwood, Ohio focusing on business law, litigation, secured lending, real estate, tax, and estate planning and administration. We are seeking an experienced candidate to join our firm as a Tax and Transactional Attorney.
Overview:
We are seeking a sophisticated Tax and Transactional Attorney with at least seven years of experience to join our legal team. The ideal candidate will take a lead role in providing comprehensive tax planning, compliance, and advisory services to our clients, particularly in the practice areas of real estate and business transactions. This is an excellent opportunity for a seasoned attorney to work on sophisticated legal matters, make a significant impact within our firm and provide comprehensive legal counsel to high-net worth clients.Responsibilities:
The tax and transactional associate attorney will be responsible for: Leading tax advice and strategic planning for real estate transactions, including acquisitions, dispositions, like-kind exchanges, UPREITs, low income housing, historic rehabilitation and new markets tax credits, financing and development projects. Developing, drafting and negotiating complex partnership agreements and LLC operating agreements. Advising clients on tax implications related to for profit and nonprofit business formations, mergers and acquisitions, divisions, redemptions, dispositions, reorganizations, restructurings and dissolutions. Conducting thorough research and analysis of complex tax issues and staying updated on current tax legislation, regulations and official guidance. Preparing and reviewing tax-related documents, agreements, and filings to ensure compliance with federal, state, and local tax laws. Collaborating with other attorneys, accountants, and financial advisors to develop comprehensive solutions for clients. Structuring loans and investments, corporations, joint ventures, LLCs, partnerships and nonprofit entities from a tax perspective. Providing tax due diligence and risk assessment for real estate and corporate transactions. Managing client relationships and serving as the primary point of contact for sophisticated tax matters.Qualifications:
Juris Doctor (JD) degree from an accredited law school Licensed to practice law in the State of Ohio and in good standing Minimum of seven years of experience as a tax attorney, with a strong focus on real estate and business transactions Proven track record of providing strategic tax advice in complex transactions Proven ability to lead transactions and manage complex projects independently Excellent analytical, research, and problem-solving skills Proficient in Microsoft Word and Excel Ability to manage multiple projects and meet deadlines in a fast-paced environment Exceptional organizational skillsPreferred Qualifications:
LL.M. in Taxation or equivalent advanced degree Background in accounting or financeBenefits:
