Associate Attorney — Transactional Practice About Us We are a small law firm working with business clients, entrepreneurs and individuals. The Role We're looking for an Associate Attorney to join our transactional team. This role is open to candidates ranging from entry-level (recent JD graduates) to attorneys with up to 10 years of relevant experience — we'll tailor responsibility accordingly. What You'll Do Assist with entity formation and corporate governance matters Draft, review, and negotiate a range of commercial agreements (Services agreements, Consulting Agreements, NDAs, commercial leases, Promissory Notes, Security Agreements, License Agreements, etc.) Support mergers, acquisitions, including due diligence Assist with Trademark and Copyright filings, review Trademark Search Reports Conduct legal research and prepare memoranda on transactional issues Communicate directly with clients under attorney supervision Collaborate with partners and senior associates on deal execution and closings What We're Looking For J.D. from an ABA-accredited law school Active membership in good standing with the California State Bar (or waiting bar results) 0-10 years of relevant transactional/corporate experience (law firm, in-house, or clerkship experience considered) Strong contract drafting, negotiation, and legal research/writing skills Ability to manage multiple matters and deadlines with attention to detail Excellent judgment and client communication skills Schedule & Work Arrangement This role can be structured as full-time or part-time , and on-site or hybrid , depending on the candidate's experience and needs.
