Job Overview NioCorp is seeking a highly capable General Counsel to lead all legal, compliance, and corporate governance matters. Reporting directly to the Chief Executive Officer and working closely with the Board of Directors, the General Counsel will serve as the company's chief legal advisor and manage a broad range of legal issues associated with a small but growing public company operating in a highly regulated sector. This is a hands-on executive position for someone who can combine strong legal judgment with business pragmatism, and who thrives in a fast-moving, entrepreneurial environment Duties Serve as the company's principal legal advisor, providing strategic counsel to the CEO,CFO, and senior management Manage all aspects of corporate governance, including board and committee support, corporate records, DCO matters, and subsidiary management Oversee all public company securities law compliance, including review of SEC and Canadian filings (10-K, 10-Q, 8-K, proxy statements, etc.) Support financing transactions, joint ventures, and strategic partnerships Advise on risk management, regulatory and environmental compliance, land and mineral rights, and permitting Draft and negotiate a wide range of contracts, including commercial, construction, vendor, employment, and licensing agreements Manage external legal counsel efficiently and cost-effectively Assist with corporate communications, including investor relations and public disclosures Develop and maintain compliance programs, ethics training, and company policies Stay current on legal developments affecting the critical minerals, energy, and mining sectors Qualifications J.D. and active bar membership in at least one U.S. jurisdiction 10+ years of legal experience, including substantial time in a public company environment (in-house or advising as outside counsel) Deep understanding of U.S. securities law, corporate governance, and regulatory frameworks Experience in the mining, energy, infrastructure, or natural resources sectors is strongly preferred Demonstrated ability to work independently and exercise sound legal and business judgment Strong drafting, negotiation, and communication skills Ability to manage multiple priorities and collaborate across disciplines Preferred Prior experience supporting a CEO or board chair. Experience at a publicly traded company, particularly around SEC reporting cycles and investor relations cadence. Familiarity with executive support in engineering, infrastructure, or large capital project environments. Why Join NioCorp?
