Job Description

Overview This is a hybrid role based in Malvern, PA. The Corporate Counsel serves as a strategic legal advisor and business partner to the Company departments, providing practical, solution-oriented legal guidance on commercial, operational, litigation, compliance, and corporate matters. The role leads review, negotiation, and management of commercial agreements including vendor, technology, software, marketing, and professional services contracts while managing litigation, outside counsel, and members of the legal team.

Draft, review, negotiate, and manage commercial agreements, including MSAs, SaaS agreements, vendor agreements, consulting agreements, marketing agreements, data processing agreements, NDAs, and statements of work. Serve as the primary legal resource for service contract negotiations and management. Partner with Procurement, IT, Marketing, HR, Operations, and other business groups. Support and improve contract intake, review, approval, and governance processes. Develop contract templates, playbooks, and standards. Advise on contract interpretation, disputes, compliance, and enforcement. Counsel business units on corporate law, securities, self-storage lien laws, litigation, bankruptcy, and claims. Manage Company claims, disputes, litigation, outside counsel, discovery, motions, briefs, and case strategies. Provide legal support regarding privacy, cybersecurity, AI, intellectual property, marketing, and employment matters. Supervise and develop attorneys, paralegals, or other legal professionals. Complete special projects as assigned. Regular, on-time attendance. Embraces and supports the Company's Mission Statement and Values. Qualifications Juris Doctor from an accredited law school. Minimum 10 years of law firm and/or in-house legal experience. Commercial contracting experience.

High degree of initiative and independent judgment. Ability to communicate and collaborate with Teammates at all levels of the Company. High degree of self-confidence and leadership with strong written and verbal communication, negotiation, and presentation skills. Able to prioritize and manage multiple projects while adhering to strict deadlines. Ability to interpret and explain complex instructions. Highly detail oriented, thorough and organized. Qualifications:
Juris Doctor from an accredited law school. Minimum 10 years of law firm and/or in-house legal experience. Commercial contracting experience.
