Job Description

Robert Half Legal is partnering with an engineering software company located in the west suburbs who is seeking a talented Senior Corporate Counsel with 5-10+ years of experience to join their in-house legal team. Candidates must have experience drafting and negotiating SaaS, IT, and Licensing agreements plus support broader legal department initiatives including vendor agreements, M&A due diligence, and strategic business transactions. Software/Technology company experience highly preferred. This position will work on a flexible hybrid WFH schedule of 3 days in-office, 2 days WFH per week. ResponsibilitiesDraft, review, negotiate, and finalize commercial agreements, including MSAs, SaaS/software licenses, professional services agreements, NDAs, and enterprise customer contracts across U.S. and international markets.

Partner with the global Sales team to provide practical guidance on contract terms, deal structures, customer escalations, and company positions.

Ensure commercial contracts comply with applicable contract, privacy, data protection, export control, and international trade laws.

Identify and advise on contractual risks, including indemnification, limitation of liability, intellectual property, and data privacy matters.

Maintain and enhance contract templates, playbooks, and negotiation guidelinesSupport broader legal department initiatives, including vendor agreements, employment matters, M&A due diligence, and strategic business transactions.

Manage legal databases, document retention, matter tracking, and follow-up for open and closed legal matters.
