Snowflake is looking for Corporate Counsel or Senior Corporate Counsel (depending on level of experience) to join our Corporate Legal team. This role offers the opportunity to be at the heart of Snowflake's public company legal function, supporting '34 Act reporting, corporate governance, securities law compliance and equity compensation matters. This is an in-person role based in Menlo Park, CA or Dublin, CA, reporting to our Director, Assistant General Counsel - Corporate and Securities.
What You'll Do:
Assist with the preparation and review of periodic reports, current reports and proxy statements, including the maintenance of disclosure controls and procedures. Support all aspects of corporate governance, including maintaining the governance calendar, preparing materials for the board and committee meetings, and driving the annual shareholder meeting process. Support insider trading law compliance, Section 16 reporting and 10b5-1 plan administration. Assist with equity plan administration and compliance with equity award plans (US and international). Maintain and ensure compliance with corporate policies, including the Related Party Transactions Policy, Insider Trading Policy, and 10b5-1 trading plan program. Assist generally with public company securities laws compliance, including the 1933 Act, 1934 Act, 1940 Act and Hart Scott Rodino Act. Support cross-functional initiatives relating to investor relations, governance, financing, compliance and international expansion.
