Uncapped, formula-based quarterly bonus About the Opportunity A growing Idaho law firm is seeking a Senior Transactional Attorney to independently manage a portfolio of business and transactional matters. The ideal candidate will have significant experience in M&A, tax, land use, contracts, real estate or broader corporate transactions. This position offers the opportunity to help shape and expand a transactional practice in one of the country's fastest-growing markets while maintaining a sustainable work schedule. Responsibilities Independently manage transactional matters from inception through closing
- Draft, review and negotiate commercial contracts and transaction documents
- Advise clients regarding entity formation, corporate governance and business structuring
- Lead private M&A transactions, including due diligence, structuring, negotiations and closing
- Prepare and negotiate purchase and sale agreements
- Advise clients regarding tax structuring, land-use entitlements, zoning and real estate transactions, depending on experience
- Maintain frequent and substantive communication with clients
- Collaborate with litigators when transactional matters become contested
- Work with firm leadership on complex matters and practice-development strategy
- Help build and expand the firm's transactional capabilities
- Meet a minimum requirement of 120 billable hours per month Required Qualifications J.D. from an accredited law school
- At least 10 years of transactional or business-law experience
- Active Idaho Bar membership or eligibility for admission by motion
- Prior law-firm experience; candidates whose experience is exclusively in-house may not qualify
- Demonstrated ability to independently manage transactional matters from beginning to end
- Strong contract-drafting, negotiation and deal-structuring abilities
- Experience in M&A, tax, land use, real estate, contracts or broader corporate transactions
- Strong client-management and communication skills
- Ability to work onsite in Boise or Eagle most days
- Willingness to relocate to Idaho if currently located out of state
- Comfort working within a growing, founder-led boutique firm Preferred Experience Leading M&A transactions from due diligence through closing

- Experience practicing in Idaho or a similar regional market
- Existing book of business, although one is not required Compensation and Benefits 130,000-150,000 base salary
- Uncapped quarterly bonus based on objective performance criteria
- Strong additional earning potential for work performed above the minimum billable target

$130,000.00 - $150,000.00 per year
