Job Description
Senior Corporate Counsel, Commercial (AMR) The Senior Corporate Counsel, Commercial (AMR) will be primarily responsible for managing commercial legal matters for the Americas region of the Sensors & Safety Systems segment of Ralliant. This will include leading and advising on legal matters across multiple business functions, related to commercial contracts, antitrust guidance, product compliance, commercial disputes, regulatory topics and otherwise as needed. In addition to providing excellent legal expertise, the role requires a proactive and solution-oriented mindset to legal matters and a proven ability to work collaboratively across the organization. Ideal candidates for this role will have in-house experience in a variety of commercial related legal topics, passion for growth, and demonstrated experience driving improvements that benefit the company. The position reports directly to Ralliant Associate General Counsel, Commercial Americas and is a hybrid role. Responsibilities
- Partner proactively with Ralliant Sensors & Safety Systems operating companies in the Americas region to enable growth and provide practical timely, business-focused and sound legal advice on a variety of commercial related legal matters, including sales and marketing, services, antitrust guidance, commercial disputes, and others as needed to appropriately manage risk
- Draft, negotiate and advise on a wide range of complex commercial contracts and transactions including product sales and services, software, XaaS and technology licenses, consulting, bids and tenders, distributor, partnership, supplier, and other business model contracts
- Drive improved and innovative processes to scale efficiencies in the legal support of commercial and go-to-market solutions
- Develop and deliver legal training for business partners to advance business needs and ensure proper functioning and transparency of contractual and other processes.
- Collaborate with other members of the Commercial and International team to ensure a consistent global approach
- Contribute to successful development and implementation of legal team initiatives
- Manage other legal matters or undertake special projects as requested by leadership
- Assist with M&A due diligence and integration as needed Competencies/Personal Traits
- Unquestionable integrity and excellent judgment
- Excellent verbal and written communication skills including ability to communicate complicated information in an understandable way, as well as excellent drafting skills
- Demonstrated ability to spot issues and provide solutions or paths to resolution; a perceptive and inquisitive problem solver
- Strong project management and organizational skills, to include prioritizing multiple complex matters and conflicting demands in a fast-paced and complex environment
- Self-motivated with ability to work independently as well as collaboratively with legal colleagues and business teams
- Proactive attitude and adaptability with an internal and external customer focus and continuous improvement mindset
- Ability to collaborate across all functions (including Engineering, Finance, Operations, and Commercial teams), cultures, and organizational hierarchy
- Ability to influence and build followership at all levels Education and experience required
- Qualified lawyer with JD from accredited university, active bar member in good standing
- Minimum of 6-10 years substantive experience, including law firm and in-house
- Extensive progressive experience negotiating commercial contracts, preferably at technology company
- Experience with contract lifecycle management tools and process improvement initiatives preferred
- Experience with energy infrastructure regulatory landscape preferred
- Experience with government agencies and contracting rules preferred
- Working knowledge of applicable laws and regulations
