Overview We are seeking a dynamic and highly experienced Senior Vice President and General Counsel - Corporate to lead our legal strategies and ensure robust compliance across all corporate functions. This pivotal role requires a strategic thinker with comprehensive legal expertise, exceptional negotiation skills, and a passion for safeguarding the organization's interests. As the top legal advisor, you will oversee a broad spectrum of legal matters, including corporate governance, contractual negotiations, regulatory compliance, and litigation management, fostering a proactive legal environment that supports our growth and innovation. Your leadership will empower our teams to navigate complex legal landscapes confidently while maintaining the highest standards of integrity and excellence. Responsibilities Provide expert legal counsel on corporate governance, securities law, and regulatory compliance to executive leadership and the board of directors. Lead negotiations on high-stakes contracts, mergers, acquisitions, joint ventures, and strategic partnerships to secure favorable terms aligned with organizational goals. Oversee all litigation matters, including general & commercial litigation, personal injury cases, employment law disputes, and procedural law issues; coordinate with external counsel as needed. Manage comprehensive legal research utilizing tools such as LexisNexis and Westlaw to stay abreast of evolving statutes, regulations, and case law relevant to the organization's operations. Draft, review, and negotiate complex contracts encompassing employment agreements, licensing arrangements, land use agreements, and vendor contracts. Supervise legal case management systems to ensure efficient tracking of ongoing cases, court depositions, trial preparations, and legal motions. Develop policies related to environmental law, tribal law & regulations, immigration law, landlord-tenant law, family law issues affecting employees or stakeholders, patent law considerations, workers' compensation law compliance, and statutory legal research. Lead internal training sessions on legal advocacy skills, procedural law knowledge, employment law updates, and best practices in legal writing and research. Foster strong relationships with external legal partners while maintaining rigorous standards for confidentiality and ethical conduct. Experience Extensive experience in general & commercial litigation with a proven track record in managing complex court depositions and trial preparations. Demonstrated expertise in diverse areas of law including estate planning, environmental law, tribal law & regulations, patent law, personal injury law & case experience. Strong background in contract drafting and negotiation across various sectors; adept at handling employment law cases and employment law compliance issues. Proficiency with legal research platforms such as LexisNexis and Westlaw; familiarity with legal case management software is preferred. Exceptional writing skills demonstrated through drafting detailed legal motions, policies, briefs, and reports; ability to communicate complex legal concepts clearly to non-legal stakeholders. Prior experience working within a fast-paced law office environment or corporate legal department is highly desirable. Proven leadership capabilities with experience managing multidisciplinary teams of attorneys or legal professionals; ability to mentor junior staff effectively. J.D. from an accredited law school and active admission to at least one U.S. state bar. Experience in the Healthcare or business tech industry is a plus.
