Job Description

Garrison has been exclusively engaged by Perpetual Capital Partners to identify an Associate Corporate Counsel to join its legal team in Arlington, VA. Perpetual Capital Partners is a private company that owns, acquires, and operates a diversified portfolio of businesses, manages a single-family office, and oversees private and publicly traded investments. With more than 4,000 employees worldwide and a permanent capital base, Perpetual takes a long-term approach to building and growing its businesses. This is a newly created role reporting to company's senior lawyer who we placed in 2021. You will work closely with company executives, the Corporate Development team, Finance department, and Management teams at portfolio companies on a broad range of corporate and commercial matters. This is an excellent opportunity for a corporate associate seeking to move in-house and develop a diverse, hands-on practice.

Responsibilities will include:

Drafting, reviewing, and negotiating commercial agreements, including services, vendor and customer agreements, NDAs, leases, and credit agreements; Supporting M&A transactions, including due diligence, transaction documentation, and post-closing matters; Assisting with employment agreements, compensation plans, benefits, compliance matters, and employment policies; Supporting corporate governance, administration, compliance, and legal workflow management; and Working with outside counsel and assisting with legal matters across Perpetual's businesses and investments. Ideal candidates will have 3+ years of experience , gained in an AmLaw 200 firm's corporate practice, with strong contract drafting skills and exposure to a variety of corporate matters. Candidates should be intellectually curious, highly organized and detail-oriented, with strong judgment, initiative, communication skills, and a collaborative, "can-do" approach.
