Job Overview Our growing business law practice is seeking a highly skilled Business Transactional Paralegal with exceptional drafting, writing, and document preparation abilities. This position is ideal for a candidate who enjoys creating polished legal documents, translating attorney direction into well-written agreements, and managing complex transactional documentation from inception through closing. The successful candidate will play a key role in preparing business and corporate documents, supporting transactions, and ensuring the accuracy and quality of written work product. Strong writing skills, attention to detail, and the ability to produce sophisticated legal documents with minimal supervision are essential. Primary ResponsibilitiesDrafting and Document Preparation Draft, revise, proofread, and format a wide variety of business and corporate legal documents, including: Operating Agreements Bylaws Corporate Resolutions Purchase and Sale Agreements Asset Purchase Agreements Membership Interest Purchase Agreements Non-Disclosure Agreements Employment and Independent Contractor Agreements Service Agreements Leases and Amendments Letters of Intent Closing Documents and Transactional Checklists Prepare first drafts of legal correspondence, memoranda, client communications, and transactional documents for attorney review. Ensure all documents are clear, accurate, professionally written, and consistent with firm standards. Incorporate attorney revisions and client feedback efficiently and accurately. Organize and assemble transaction documents, signature packets, and closing binders. Corporate and Transactional Support Assist with business entity formations, conversions, reorganizations, and dissolutions. Prepare and file organizational documents and annual compliance filings. Maintain corporate records, ownership ledgers, minute books, and governance documents. Support mergers, acquisitions, business sales, financing transactions, and other corporate matters. Conduct due diligence reviews and summarize findings in concise written reports. Manage transaction timelines and coordinate document execution with clients and third parties. Client and Matter Management Communicate professionally with clients, accountants, lenders, title companies, and government agencies. Track deadlines and ensure timely completion of filings and transactional requirements. Maintain organized electronic and physical files. Qualifications Paralegal certificate, associate degree, bachelor's degree, or equivalent experience. Minimum of 2 years of experience in business, corporate, transactional, or commercial law preferred. Outstanding writing, editing, proofreading, and drafting skills. Demonstrated ability to prepare complex legal documents with precision and attention to detail. Strong command of grammar, punctuation, formatting, and professional business writing. Excellent organizational and project management skills. Ability to manage multiple assignments and deadlines in a fast-paced environment. Proficiency in Microsoft Office, including advanced Word formatting and document management.
