Corporate Paralegal (Transactional / M&A)
Location:
Timonium, MD (Primary) — Open to any of our
DMV Office Locations Compensation:
Up to $125,000/year base + comprehensive benefits
Experience:
7+ years of law firm experience About the Role We are seeking an experienced Corporate Paralegal with 7+ years of transactional law firm experience to join our growing corporate practice. While this position is advertised to sit in our Timonium, MD office, we are fully open to placing the right candidate in any of our strategic DMV office locations . In this role, you will work directly alongside partners and senior associates on complex corporate transactions, financing matters, and entity governance. You will serve as a critical operational pillar across deal lifecycles, ensuring seamless execution from initial structuring to post-closing compliance.
Key Responsibilities Transactional & Deal Support:
Assist attorneys through all phases of M&A and financing transactions, including diligence coordination, data room management, deal closing checklists, closing binder preparation, and post-closing filings.
Entity Formation & Maintenance:
Manage the end-to-end lifecycle of corporate entities (LLCs, Corporations, LPs) across multiple jurisdictions, including formations, foreign qualifications, dissolutions, and ongoing compliance filings.
Governance & Record Keeping:
Draft, review, and maintain routine corporate records, resolutions, written consents, board minutes, and operating agreements.
Regulatory & State Compliance:
Oversee state filings, good standing certifications, EIN applications, and annual reporting requirements to ensure client entities remain compliant across jurisdictions.
Cap Table & Entity Records:
Maintain detailed organizational charts, stock ledgers, capitalization tables, and corporate minute books. Qualifications & Requirements 7+ years of dedicated experience as a corporate or transactional paralegal within a law firm setting ( AmLaw or mid-sized corporate practice preferred ). Deep experience supporting complex M&A deals, debt/equity financing, and entity structuring . Expertise in multi-jurisdiction Secretary of State filings, registered agent management, and corporate maintenance tools. High proficiency with transactional document workflows, diligence platforms, and corporate entity management software. Exceptional organizational skills with proven success managing competing deal deadlines across multiple client accounts. Strong verbal and written communication skills; comfortable interacting directly with C-suite clients, lenders, and state officials. Bachelor's degree and/or Paralegal Certificate preferred (or equivalent practical experience).
