$70,000-$85,000, depending on experienceAbout the OpportunityOur client, a respected law firm in Potomac, Maryland, is seeking an experienced Corporate & Business Law Paralegal to join its growing Corporate and Business practice.

This is an excellent opportunity for a seasoned paralegal who enjoys working on sophisticated business transactions, entity management, corporate governance, and regulatory compliance matters. The ideal candidate is proactive, detail-oriented, and thrives in a collaborative, fast-paced legal environment while managing multiple matters simultaneously.

Responsibilities
  • Support attorneys throughout all phases of corporate and business law matters from inception through completion.
  • Prepare, draft, proofread, and organize corporate legal documents, including:
  • Articles of Incorporation and Organization
  • Operating Agreements
  • Bylaws
  • Corporate Resolutions
  • Shareholder and Member Consents
  • Corporate Minutes
  • Business Formation and Dissolution Documents
  • Purchase and Sale Documents
  • Coordinate business entity formations, foreign qualifications, mergers, conversions, amendments, withdrawals, and dissolutions across multiple jurisdictions.
  • Prepare and file annual reports, Secretary of State filings, corporate compliance documents, and other regulatory filings nationwide.
  • Maintain corporate records, minute books, organizational documents, and entity databases.
  • Assist attorneys with mergers and acquisitions, commercial transactions, financing matters, and other complex business transactions.
  • Prepare due diligence materials, transaction checklists, signature packets, and closing binders.
  • Coordinate document execution through electronic signature platforms and manage post-closing deliverables.
  • Prepare and file UCC financing statements, amendments, continuations, assignments, and terminations.
  • Conduct factual and legal research using online legal research platforms.
  • Communicate professionally with clients, government agencies, financial institutions, registered agents, accountants, and outside vendors.
  • Monitor filing deadlines, compliance requirements, and transaction timelines.
  • Organize and maintain electronic and physical client files.
  • Provide additional legal and administrative support to attorneys as needed. Qualifications
  • Minimum 3 years of corporate/business law paralegal experience in a law firm.
  • Paralegal Certificate, Associate's Degree, or Bachelor's Degree preferred.
  • Experience with corporate governance, entity management, and business transactions.
  • Strong knowledge of Secretary of State filings and corporate compliance requirements.
  • Experience supporting mergers and acquisitions, financing transactions, or commercial real estate matters is a plus.
  • Experience preparing and filing UCC documents preferred.
  • Proficiency with Microsoft Office Suite, including Word, Outlook, Excel, and Adobe Acrobat.
  • Experience with legal document management and case management software.
  • Experience with Westlaw, Lexis, or similar legal research platforms is preferred. Skills & Competencies
