Job Description

Job Summary We are seeking a highly organized and detail-oriented Corporate, Estate Planning, and Estate/Trust Administration Paralegal to join our dynamic legal team. In this role, you will provide essential support in managing complex corporate legal matters, estate planning documents, and estate and trust administration. This position offers an exciting opportunity to work on a variety of legal projects within a collaborative environment dedicated to excellence and client service. Essential Functions and Responsibilities -- Corporate and Business Assist attorneys with the formation, organization, and maintenance of corporations, limited liability companies, partnerships, and other business entities. Prepare organizational documents, including articles/certificates of incorporation or organization, bylaws, operating agreements, resolutions, consents, organizational minutes, and other corporate records. Maintain corporate books, entity records, ownership information, and annual filings. Assist with mergers, acquisitions, reorganizations, dissolutions, and other business transactions. Prepare and coordinate signature packages and closing documents. Conduct and organize corporate and business records searches as requested. Prepare annual reports and other required state filings. Assist attorneys with drafting and maintaining business succession and ownership-transfer documentation. Maintain calendars and track corporate filing deadlines, renewals, and other important dates. Essential Functions and Responsibilities -- Estate Planning and Estate/Trust Administration Assist attorneys in preparing estate planning documents, including wills, revocable and irrevocable trusts, powers of attorney, health care directives, beneficiary designations, and related documents. Prepare initial drafts and revisions based on attorney instructions. Coordinate client meetings, document reviews, signing conferences, and execution of estate planning documents. Prepare estate planning binders and electronic client files. Coordinate execution, notarization, and witnessing of documents. Assist with the funding and administration of trusts, including preparation and organization of deeds, assignments, beneficiary forms, and related documentation. Maintain accurate records of clients' estate planning documents and follow-up items. Assist attorneys with estate and wealth-transfer planning projects involving individuals, families, business owners, and fiduciaries. Assist attorneys with probate and estate administration matters. Prepare petitions, inventories, accountings, notices, correspondence, and other probate-related documents under attorney supervision. Communicate with courts, financial institutions, beneficiaries, fiduciaries, accountants, appraisers, and other professionals. Assist with gathering and organizing estate assets and liabilities. Assist with the preparation of state inheritance tax worksheets, federal estate and gift tax returns, and associated forms and workpapers. Track deadlines, distributions, tax filings, and other estate administration requirements. Maintain detailed estate administration checklists and client records. Skills Serve as a professional point of contact for clients regarding administrative and procedural matters. Communicate effectively with clients while maintaining appropriate confidentiality and professionalism. Schedule meetings, conference calls, signing appointments, and other client activities. Coordinate with attorneys, accountants, financial advisors, title companies, registered agents, and other outside professionals. Prepare correspondence, engagement materials, checklists, closing books, and other client deliverables. Enter and maintain accurate information in the firm's case management and document management systems. Monitor attorney calendars and assist with workload and deadline management. Assist with billing-related administrative tasks, including time-entry review, invoice preparation, and client billing questions when appropriate. Maintain organized electronic and paper files in accordance with firm policies. Qualifications Associate or bachelor's degree, paralegal certificate, or equivalent legal experience preferred. 3+ years of paralegal experience preferred, with experience in corporate law, estate planning, probate, or a related practice area strongly preferred. Experience with and ability to master new computer software programs, and the ability to increase process efficiency through the use of AI tech platforms. Knowledge of and experience with, and ability to understand and apply applicable professional rules of ethics and conduct, and knowledge of ABA Rules of Professional Responsibility. Assist in the competent and economical delivery of legal services, benefiting both the firm and the client. Experience with and ability to master new computer software programs and the ability to increase process efficiency using AI tech platforms. Knowledge of legal terminology, forms, documents, practices and procedures. Proficiency with Microsoft Office, PowerPoint, and related programs. Excellent verbal and written communication skills. Resourcefulness and ability to work independently. Excellent organization; ability to prioritize work and handle strict deadlines and multiple tasks. Attention to detail and ability to creatively solve problems. Ability to confidently and effectively interact with clients, prospects, referrals, attorneys and other employees in a team environment. Pay:
$65,000.00 - $75,000.00 per year
