Description A well-established law firm is seeking a Corporate Attorney with 2-3 years of relevant practice experience to join its corporate and commercial law team. The ideal candidate will have experience advising businesses on a broad range of corporate matters, including commercial transactions, mergers and acquisitions, contracts, business formation, and general corporate governance. Experience + 2-3 years of relevant legal practice experience.

+ Experience in general corporate law, commercial transactions, mergers and acquisitions, and contracts.

+ Strong drafting, negotiation, analytical, and legal research skills.

+ Ability to manage multiple matters and work collaboratively with attorneys and clients. Responsibilities

+ Assist the team in all areas of corporate and commercial law.

+ Draft, review, and revise a broad range of commercial documents and agreements, including:

+ Business formation documents

+ Shareholder agreements

+ Operating agreements

+ Merger and acquisition agreements

+ Commercial contracts

+ Financing agreements

+ Work closely with attorneys and clients to provide legal guidance on a variety of corporate and business matters, including:

+ Mergers and acquisitions

+ Commercial contracts and transactions

+ Shareholder and operating agreements

+ Financing arrangements

+ General corporate matters

+ Evaluate corporate policies and procedures for compliance with applicable government regulations, industry standards, and ethical requirements.

+ Conduct legal research and prepare analysis on corporate and commercial law matters.

+ Support attorneys in transaction management, due diligence, document preparation, and other corporate legal matters.

+ Communicate effectively with clients and internal team members regarding legal issues, transaction status, and required documentation. Requirements Requirements

+ J.D. from an accredited law school.

+ Admission to the applicable state bar in good standing. + 2-3 years of relevant corporate legal experience.

+ Demonstrated experience with corporate transactions, commercial agreements, M& A, and business formation.

+ Excellent written and verbal communication skills.

+ Strong attention to detail and organizational skills.

+ Ability to work independently while also contributing effectively to a collaborative legal team.

+ Strong legal research, writing, drafting, and analytical abilities.

+ Professional judgment and the ability to handle confidential and sensitive client information.
