Summary:
Woods Oviatt Gilman LLP is seeking a dedicated and detail-oriented Corporate Paralegal to join our Business & Tax Department. The Corporate Paralegal will provide critical support to attorneys representing businesses, financial institutions, entrepreneurs, and investors in a variety of corporate and transactional matters. The ideal candidate will be highly organized, capable of managing multiple projects simultaneously, and comfortable communicating with clients, governmental agencies, and third-party service providers.
Duties and Responsibilities:
Assist attorneys with a variety of corporate, business, and transactional matters. Manage entity formations and related public filings. Draft corporate governance documents, including formation documents and consents. Prepare, review, proofread, and organize legal documents and correspondence. Conduct legal, business, and public records research as directed. Support mergers, acquisitions, financing transactions, and other business matters. Communicate with clients, government agencies, financial institutions, and third-party service providers. Maintain corporate records, databases, and legal files. Assist in managing online data rooms and due diligence efforts for transactions and client matters. Monitor deadlines and assist with filings and regulatory requirements. Utilize document management and case management systems to organize and maintain records. Collaborate with attorneys, paralegals, and administrative staff to ensure efficient workflow and client service.
Qualifications:
Bachelor's Degree and related paralegal certificate preferred. Candidates possessing a business paralegal degree or relevant experience will receive strong consideration. Excellent research, writing, and communication skills. Proficiency in legal research software and MS Office. Strong organizational skills and attention to detail. Ability to work independently and as part of a team in a fast-paced environment.
