Position Summary:
The Senior Paralegal role is an essential member of Gleason's Legal Department, reporting directly to the Vice President, General Counsel & Secretary. This position provides the opportunity to work closely with members of the Legal Department and other business stakeholders on a broad range of mission-critical legal and compliance topics, while gaining the unique experience of supporting international legal matters. The role will also serve as a paralegal for members of the corporate executive staff, with administrative support as needed.
Job Responsibilities:
Supporting the Legal Department with high-profile, high-impact projects across the global enterprise. Help support, build, and implement processes to improve the Department's operating efficiency and to mitigate legal risks. Create and organize standard documents, resources, contract clauses, and templates to assist with global commercial negotiations and compliance processes. Perform legal research, as needed, to support project initiatives. Preparing agendas and supporting materials in connection with monthly Global Compliance Council meetings. Supporting Corporate and cross-site initiatives, such as the Global Sourcing Council, supplier due diligence outreaches, appropriations requests, and the management incentive compensation plan. Providing transactional support for standard agreements, including first-level review of non-disclosure agreements and customer surveys and certifications; assist with compliance due diligence and coordinate approval processes. Support use and expansion of company's contract lifecycle management tool and coordinate roll-outs of new features and functionality. Draft and/or update and file a wide variety of legal documents and contracts (including sales representative agreements, intercompany agreements, and amendments). Assisting with corporate administrative and governance matters, including: Drafting, organizing, and maintaining corporate documents and filings. Tracking deadlines and maintaining the corporate compliance calendar. Supporting entity management, including internal consolidations, mergers, and dissolutions. Assist in maintaining minute books and other corporate records for Gleason entities. Proactively managing equity security matters and coordinating associated transactions. Assisting with organizing Company Board meetings, preparing supporting documentation and meeting materials, and providing additional support as needed. Assisting with IP management in support of Gleason's Director, Intellectual Property; assist with patent and trademark filings and tax processing. Assist with real estate, financing, M&A and other strategic transactions, HR, and litigation matters as needed. Qualifications (Knowledge, Skills & Abilities):

  • Must possess strong organizational, time management, and communication (both written and oral) skills.
  • Must be a self-starter, highly motivated, detail-oriented, possess a good work ethic, and demonstrate an ability to operate proactively and independently; demonstrated legal project management skills.
  • Ability to work collaboratively within a team environment and interact effectively with individuals cross-functionally and at all levels of the organization.
  • Ability to juggle multiple competing projects at the same time, act quickly when required by time-sensitive business needs, and reprioritize/pivot as the requirements evolve.
  • Working knowledge of general contract provisions or eagerness to develop skills in this area is a plus.
Preferred Education/Training/Experience:
  • Bachelor's or Associate's degree, paralegal certificate, or commensurate experience is required.
Computer Skills:
  • Knowledge and advanced proficiency with software programs such as: Adobe Acrobat, Outlook, Teams, Word, Excel, and PowerPoint.
  • Technical savviness, familiarity with AI solutions, and eagerness to understand and unlock how technology can increase the Legal Department's efficiency.
  • Familiarity with contract lifecycle management tools a plus.
