This Corporate Paralegal will support up to four transactional attorneys, specifically focused on EC/VC matters. As a Corporate Paralegal with this firm, you'll assist with all phases of deal execution. This position is remote, so candidates across every US time zone are encouraged to apply. The ideal candidate will have 7-10+ years of relevant experience; part-time (20-25 hours) is preferred but full-time candidates will be considered.

Responsibilities:

Deal execution on EC/VC financings and

M& A:

closing checklists, signature and DocuSign management, data room setup, diligence tracking, closing binders, post-closing follow-through, and cap-table support. Comfortable with the EC/VC document set — SAFEs, convertible notes, priced equity rounds, NVCA-style financing documents, equity incentive plans, option grants, and Section 83(b) filings.

Corporate and transactional support:

entity formation and maintenance across multiple states, corporate housekeeping and minute books, board and manager consents, and good-standing and qualification filings.

Regulatory support:

preparing and tracking state and federal regulatory filings, licenses, and permit renewals, monitoring compliance deadlines across practice areas, and managing correspondence with regulatory agencies.

Public sector matters:

supporting government contracts and procurement work, including bid and proposal documentation, agency registrations and filings, and compliance with public-entity contracting and disclosure requirements.

Qualifications:

7-10 years or more of experience supporting attorneys with EC/VC matters. The judgment to run matters on your own. Comfortable being the direct line to clients: reliable, responsive, polished, organized, and calm under deal pressure. Proactive about communication.
