Full-Time | On-Site About Virginia Transformer Virginia Transformer Corp is the largest U.S.-owned manufacturer of custom-engineered power transformers serving utility, renewable energy, industrial, EPC, and data center markets throughout North America. As our customer base and project portfolio continue to expand, we are seeking a Contracts Paralegal to support our strategic key accounts and commercial operations. Position Overview We are seeking an experienced and highly organized Contracts Paralegal to support the Legal Department and Key Account teams in managing complex customer, vendor, and commercial agreements. This role will work closely with Legal, Sales, Project Management, Operations, and Executive Leadership to help manage strategic customer relationships, support contract negotiations, track contractual obligations, and assist with dispute resolution and compliance matters. The ideal candidate will possess strong contract administration experience, exceptional attention to detail, and the ability to manage multiple high-value projects in a fast-moving manufacturing environment. Key Responsibilities Draft, review, revise, and manage commercial agreements, customer contracts, NDAs, amendments, purchase agreements, vendor agreements, and related legal documents under attorney supervision. Support strategic key accounts including utilities, EPC firms, renewable energy customers, industrial clients, and large infrastructure customers. Coordinate contract review workflows between Legal, Sales, Operations, Engineering, and Executive Leadership teams. Track contractual obligations, deliverables, milestones, notices, renewals, and compliance requirements. Maintain and organize contract databases, document repositories, and version control systems. Assist with contract negotiations and redline management while ensuring alignment with company policies and risk tolerance. Support dispute management, claims documentation, and litigation preparation under attorney supervision. Conduct legal and commercial research related to contracts, compliance, and regulatory requirements. Assist with due diligence activities, audits, and internal compliance initiatives. Prepare summaries of key contractual terms, risks, obligations, and commercial exposure for leadership review. Support customer relationship management efforts by helping ensure timely responses and execution of contractual commitments. Maintain Legal Department calendars, deadlines, and project tracking activities. Assist with special projects and strategic initiatives for the Chief Legal Officer as needed. Qualifications Associate's or Bachelor's Degree in Paralegal Studies, Legal Studies, Business Administration, or related field preferred. Paralegal Certification from an ABA-approved program preferred. 8-10 years of experience supporting contracts, commercial agreements, or corporate legal operations within a corporate legal department or law firm. Strong understanding of contract management, commercial terms, corporate governance, and legal compliance processes. Experience supporting strategic customer accounts, manufacturing operations, EPC projects, industrial companies, or infrastructure businesses strongly preferred. Excellent organizational, communication, and project coordination skills. Ability to manage multiple contracts and deadlines simultaneously in a fast-paced environment. High attention to detail with strong analytical and problem-solving abilities. Proficiency with Microsoft Office Suite, contract management systems, and document management platforms.
