Full-Time Overview A top-tier global law firm is seeking a Capital Markets Associate to join its Silicon Valley office. This role offers the opportunity to work within a market-leading Capital Markets practice, advising issuers, private equity investors, and investment banks on sophisticated domestic and cross-border transactions. The ideal candidate has capital markets experience with a focus on late-stage private company representation and thrives in a collaborative, fast-paced environment handling innovative and high-profile transactions. Responsibilities Advise clients on capital markets transactions and securities offerings Represent late-stage private companies, issuers, investors, and investment banks Assist with equity and debt offerings, public company matters, and strategic transactions Draft and review offering documents, SEC filings, and transaction agreements Provide guidance on securities laws, disclosure obligations, and regulatory compliance Collaborate with clients and internal teams on complex domestic and cross-border matters Qualifications J.D. from an accredited U.S. law school 2-6 years of capital markets experience Experience representing late-stage private companies preferred Strong knowledge of securities laws and capital markets transactions Excellent writing, analytical, and communication skills Strong academic credentials Admission to the California Bar (in good standing) preferred Compensation & Benefits Competitive salary ($225,000 - $435,000) plus discretionary bonus potential.
