Serving as the primary Commercial Gatekeeper and Deal Flow Hub for our fast-growing Commercial & Industrial (C&I) solar business, this role bridges the critical gap between In-House Legal, Finance, and Front-line Sales . Instead of being confined to routine legal administration, you will drive the front-line contract review process—evaluating commercial terms, redlining supply agreements, mitigating transactional risks, and directly accelerating deal velocity for major multi-million dollar renewable deployments. Key Responsibilities 1. Commercial Contract Review & Legal-to-Sales Liaison (70% — Core Focus)
First-Tier Contract Screening & Redlining:
Serve as the primary commercial reviewer for project-level transactions. Review, analyze, and redline commercial supply contracts, Master Service Agreements (MSAs), framework agreements, and NDAs before escalation to internal/external legal counsel.
Commercial Risk Filtering:
Protect business margins by identifying transaction red flags across the deal lifecycle (RFP/Bid > Contract Execution >Delivery & Milestone Billing >Warranty).
Cross-Functional Deal Velocity:
Act as the strategic conduit between corporate Legal and executive Sales teams. Translate rigid legal covenants into actionable commercial solutions and streamline negotiation bottlenecks.
Credit & Payment Terms Governance:
Coordinate with Finance and Legal to establish commercial safeguards—monitoring project credit limits, letters of credit (LCs), payment milestones, and accounts receivable (AR) compliance. 2. Deal Governance & Global HQ Reporting (30%)
Commercial Pipeline Integrity:
Maintain data-driven contract and deal-tracking repositories in Salesforce/internal CRM, tracking contract progression from initial term sheet to final module delivery.
HQ Liaison & Compliance Reporting:
Utilize bilingual capabilities (English/Korean) to translate operational narratives and summarize contract risk logs, deal structures, and compliance milestones for executive leadership and Global Headquarters (HQ).
Commercial Parameters Governance:
Track key commercial variables affecting contract pricing, including trade duties, logistics surcharges, domestic content certifications, and delivery terms (Incoterms).
Required Qualifications Education:
Bachelor's degree in Legal Studies, Business Administration, Economics, or related field ( Paralegal Certificate or specialized legal/contracts training highly regarded ).
Professional Experience:
6~8+ years of progressive experience in Commercial Contract Management, In-House Legal Operations, Senior Paralegal roles (Corporate / Commercial Transactions), or SI/B2B Proposal Management .
Contract Expertise:
Hands-on experience reviewing, redlining, and managing B2B commercial agreements, supply contracts, vendor agreements, or high-stakes RFPs.
Analytical Aptitude:
Strong attention to contractual details, comfortable navigating CRM databases, spreadsheets, and commercial deal metrics. Linguistic Excellence (Mandatory): Fluent / Bilingual in
