Our transaction advisory group handles sell-side exit readiness and buy-side Quality of Earnings engagements on transactions, typically $10M-$100M, across a range of industries. POSITION OVERVIEW
This is an opportunity to run deals, not workstreams. As Senior Manager, Transaction Advisory Services, you will lead sell-side and buy-side engagements from kickoff through final deliverable, working directly with the owners and CEOs across the table. You will have a hand in every deal in the group, personally driving the larger and more complex engagements and overseeing the team on the rest. For an owner selling a business, the deal is often the largest transaction of their life; you are the advisor they rely on to get it right. We are looking for someone experienced enough to own the hardest engagements end to end.: The kind of team member who can take a messy set of books and turn it into a clean, defensible analysis, and be just as comfortable walking an owner through it as defending it to a buyer. You will run engagements independently from the start, with an associate to support you and room to take on a broader role in the group and its client relationships as it grows.
KEY RESPONSIBILITIES
Lead sell-side transaction advisory and exit-readiness engagements: prepare companies for sale, build Adjusted EBITDA and supporting analyses, and guide owners, often selling for the first time, through the due diligence process. Lead buy-side Quality of Earnings and financial due diligence engagements, from initial request list and management discussions through databook, report, and final presentation. Own the core analyses of every engagement., including Quality of earnings, revenue quality and customer concentration, P&L and margins, net working capital, and cash proofs, across a client base spanning manufacturing, distribution, professional services, technology, retail, construction, and the trades. Carry the preparation yourself when complexity demands it. Normalize cash- and tax-basis books, work through inconsistent accrual accounting and unusual journal entries, and turn messy data into analysis that stands up. Manage multiple engagements at once, running the most complex deals hands-on, directing and reviewing the team on smaller ones, and keeping every deal moving against its timeline. Present findings and defend positions with clients, counterparties, bankers and brokers, and their advisors, and Explain accounting concepts and GAAP requirements in plain terms to owners and finance staff at every level of sophistication, from a part-time bookkeeper to a controller-led team. Lead Office of the CFO engagements and special projects, bringing the same rigor and judgment you apply to a deal. Develop the team; mentor and review the associates who support you, push work down as they grow, and help build the processes and playbook the group runs on.
QUALIFICATIONS 5-8
years in transaction advisory, financial due diligence, or Quality of Earnings at a CPA or transaction-services firm, with QoE / FDD deliverables you produced yourself. CPA license required; candidates with substantial exam progress who are actively completing licensure will also be considered. Command of the deal process, buy-side and sell-side -: how transactions move, how to review a deal, and where the judgment calls live. Hands-on command of cash-to-accrual conversions, tax-basis accounting, and messy books. You can read through the noise of bad accrual records and make sense of what is really going on. General familiarity with QuickBooks or comparable accounting systems. Expert-level Excel skills, with the ability to turn raw general ledger and client data into complex, multi-step analyses and databooks. An AI-forward way of working Exceptional communication skills. You can explain your analysis and the accounting behind it to owners with little finance background, and defend it with confidence to sophisticated buyers, bankers and brokers, and diligence teams from larger firms.
PREFERRED QUALIFICATIONS
Experience serving owner-operated small and mid-sized businesses. Working understanding of the tax side of deal structuring (asset vs. equity, purchase-price allocation, etc.). Experience training and reviewing junior staff.
COMPENSATION & BENEFITS
$160,000-$200,000 base salary, commensurate with experience, plus an annual discretionary bonus. Title level and compensation will flex up for the right candidate. Remote-first with our NYC-based team, with regular collaboration at our Morganville and Totowa, NJ offices.
