: Advise clients on corporate and business law matters, including entity formation, governance, business structuring, and compliance. Draft, review, and negotiate corporate and commercial agreements, including operating agreements, purchase and sale agreements, and other business contracts. Assist with mergers, acquisitions, business purchases and sales, and other corporate transactions. Represent clients in commercial real estate transactions, including acquisitions, sales, leasing, and financing. Conduct legal due diligence for corporate and real estate transactions and identify potential risks. Coordinate with lenders, title companies, brokers, accountants, opposing counsel, and other third parties to facilitate transactions and closings. Provide practical, business-focused legal advice and maintain strong client relationships. Manage matters and deadlines independently while collaborating with attorneys, paralegals, and support staff. Maintain accurate and organized electronic matter files and documentation. Perform other duties as assigned.
Qualifications:
