Responsibilities Cross-Border Contract Management:

Manage the full contract lifecycle (drafting, redlining, negotiating, and monitoring) for diverse commercial agreements in both English and Chinese. Navigate complex cross-border issues including governing language, jurisdiction selection, and international regulatory alignment, while driving efficiency through bilingual templates and negotiation playbooks.

Entity Verification & Authority:

Conduct rigorous legal due diligence on foreign business partners, verifying official registered names, business licenses, signatory authority, etc.

Linguistic Precision & Translation Risk:

Perform linguistic due diligence across dual-language contracts to ensure technical and legal terms align perfectly. Strategically negotiate "Governing Language" clauses to protect the company's interests in the event of a dispute.

Jurisdiction & Dispute Strategy:

Lead negotiations on governing law and dispute resolution clauses. Determine the most advantageous venues for enforcement.

International Risk & Compliance:

Advise business leaders on corporate governance, industry-specific regulatory compliance, and risk management across multiple jurisdictions (e.g., US and APAC regions).

Global Relationship Support:

Act as the primary legal liaison for international supplies, or manufacturing partners in APAC regions.

External Coordination:

Manage relationships with external local counsel in foreign jurisdictions, overseeing litigation strategy, or complex intellectual property matters.

Qualifications & Experience Education:

A Juris Doctor (JD) degree from an accredited law school

Licensure:

Active admission to the state bar and in good standing.

Experience:

Typically requires 3 to 7+ years of relevant legal experience, preferably with exposure to international trade, or multinational corporate operations.

Language Proficiency:

Must be fully bilingual in English and Chinese (Mandarin highly preferred). Requires full professional proficiency to speak, read, and draft complex legal documents in both languages without requiring translation services.

Cultural Competence:

A strong understanding of international business etiquette and the cultural nuances of negotiating and operating within APAC markets.

Business Acumen:

The ability to provide practical, solution-oriented advice that balances international legal risk with commercial goals.

Communication:
