The Corporate Counsel, Canada is responsible for providing legal support and strategic counsel to the Company's Canadian operations, including plasma collection centers and manufacturing activities. This role serves as the primary legal advisor for Canada, supporting a broad range of matters including commercial contracts, litigation management, regulatory compliance, employment-related issues, procurement, real estate, and corporate initiatives. The Corporate Counsel works closely with business leaders, Human Resources, Corporate Communications, Regulatory Affairs, the U.S. Legal Department, and external counsel to identify and mitigate legal risks while supporting business objectives. This position requires a proactive, business-oriented legal professional who can effectively manage diverse legal matters, prioritize competing demands, and leverage internal and external resources to deliver practical and timely solutions. The role operates with the support of the General Counsel, U.S. Legal Department, and external legal advisors and is ideal for a lawyer who thrives in a dynamic environment and enjoys serving as a trusted legal partner to the business.

Primary Responsibilities:

Serve as the primary legal counsel supporting the company's Canadian operations, including plasma donation centers and manufacturing activities. Draft, review, negotiate, and advise on a broad range of commercial agreements, including supply, procurement, vendor, service, and operational contracts. Provide legal guidance on real estate matters, including leases and property-related agreements. Manage and coordinate litigation matters, including donor claims, employment claims, and commercial disputes. Work collaboratively with external counsel to develop legal strategies and ensure efficient management of legal proceedings. Support interactions with Health Canada, including responses to requests for information, regulatory inquiries, and document submissions. Advise business leaders on legal risks, compliance obligations, and practical solutions that support business objectives. Partner with Human Resources on employment-related legal matters and employee mobility issues, including visas and work authorization requirements. Support Corporate Communications by reviewing media statements, public-facing communications, and related inquiries. Collaborate with cross-functional teams, including Operations, Procurement, Human Resources, Regulatory Affairs, and Corporate Leadership. Identify legal issues proactively, prioritize competing demands, and drive matters to timely resolution.

Qualifications:

Juris Doctor (JD) or Bachelor of Laws (LL.B.). Licensed and in good standing with a Canadian provincial law society. 5-10 years of legal experience gained through a combination of private practice and/or in-house legal roles. Strong experience reviewing, drafting, and negotiating commercial contracts. Demonstrated ability to provide practical legal advice to business stakeholders. Strong organizational, analytical, and problem-solving skills. Ability to independently manage multiple priorities and legal matters simultaneously. Excellent communication and relationship-building skills.

Will be considered strong assets:

Litigation experience, including management of disputes and coordination with external counsel. Experience advising on real estate, procurement, manufacturing, regulatory, or employment-related matters. A combination of law firm and in-house experience, ideally including litigation experience in private practice and corporate counsel experience supporting business operations. Experience working within highly regulated industries such as healthcare, life sciences, manufacturing, or pharmaceuticals. Bilingualism in English and French is strongly preferred.
