Job Description

NEXT, powered by Shulman Rogers (https://next.law/), a Startup and Emerging Growth Companies practice group within Shulman Rogers is seeking an experienced attorney. NEXT delivers legal services for the full life cycle of startup and emerging growth companies and was recognized as the Best Law Firm in the Unites States for Enabling Startup Success in the US by LegalWeek. The ideal candidate will have 4+ years' experience collaborating with emerging companies. This position will work directly with founders building new start-up companies and investors investing in those companies.
PRIMARY DUTIES AND RESPONSIBILITIES
Draft and manage equity and incentive compensation plans, including stock options and restricted stock units for employees and founders. Draft and negotiate commercial agreements, including vendor, licensing, and intellectual property assignment contracts. Advise founders on entity selection, formation, and organizational structuring. Lead, structure, and negotiate financing transactions, including Seed and Series A venture rounds, convertible notes, and SAFEs.
QUALIFICATIONS AND SKILLS
J.D. from an accredited law school. 4+ years of experience representing clients in business transactions, particularly in M&A, private equity, venture capital, and finance. Maryland Bar admission (or willingness to obtain); DC and VA admission are a plus.
