Corporate Attorney Key Requirements (Must Haves): 5-7 years of corporate law experience, including entity formation and corporate governance. Strong drafting and negotiation experience with commercial and corporate agreements. Experience supporting financings, capitalization matters, and strategic corporate transactions. Nice to Haves (Optional, weighted to the top, more is better): Arizona bar admission or eligibility to waive into Arizona. Experience advising technology, SaaS, startup, or growth-stage businesses. Familiarity with legal operations platforms, contract lifecycle management tools, and legal technology solutions. The successful candidate will have approximately 5-7 years of corporate law experience and be comfortable independently managing matters involving entity formation, governance, financings, strategic transactions, commercial agreements, and corporate operations. Responsibilities Advise clients on corporate governance, entity formation, and organizational structuring. Draft, review, and negotiate a variety of corporate and commercial agreements. Support capitalization, equity, financing, and investment-related transactions. Counsel growth-oriented businesses on day-to-day corporate legal matters. Assist with mergers, acquisitions, strategic transactions, and corporate restructurings. Advise Delaware corporations and LLCs regarding governance and compliance matters. Collaborate with business stakeholders to provide practical, commercially focused legal guidance. Utilize legal technology and legal operations tools to improve efficiency and service delivery. Manage multiple matters independently while maintaining exceptional responsiveness and client service. Qualifications J.D. from an accredited law school.
