Salary:

Counsel (5-7 PQE): $200,000

•$250,000 + Bonus Senior Counsel (10+ PQE): $250,000

•$300,000 + Bonus The Opportunity Our client is a leading investor, developer and operator within the North American energy infrastructure sector, investing across conventional and renewable power generation, transmission, energy transition and related infrastructure assets. Due to continued investment activity, they are looking to appoint both a Counsel and Senior Counsel to support their growing Private Equity legal team. These hires will play a key role advising on acquisitions, financings and strategic corporate transactions across a diverse portfolio of energy assets. This is an excellent opportunity for attorneys looking to move into a commercially focused in-house role where they will work alongside investment, finance and executive leadership teams on high-profile transactions. Key Responsibilities Lead or support complex mergers & acquisitions across the full transaction lifecycle, including: Bid processes Due diligence Drafting and negotiating transaction documentation Closing and post-closing integration Advise on acquisition financings, refinancings and broader corporate finance transactions. Structure and negotiate commercial agreements supporting private equity investments. Partner closely with investment professionals throughout transaction execution. Prepare legal input for investment committee materials and internal approvals. Work collaboratively with finance, tax, regulatory, accounting and asset management teams to deliver commercially focused legal advice. Assess legal and commercial risks while providing pragmatic solutions to support business objectives. Manage multiple transactions simultaneously within a fast-paced investment environment. Experience Required Counsel (5-7 PQE) Qualified Attorney (US JD or equivalent). Approximately 5-7 years' post-qualification experience. Strong M&A experience gained within a recognised law firm. Exposure to corporate finance or project finance transactions. Experience advising clients within the energy, infrastructure or power sectors is highly desirable. Excellent drafting, negotiation and stakeholder management skills. Senior Counsel (10+ PQE) In addition to the above: 10+ years' experience leading complex M&A and financing transactions. Ability to independently lead sophisticated acquisitions from inception through completion. Strong commercial judgement with experience balancing legal risk against business objectives. Previous in-house experience within infrastructure, private equity or energy is advantageous. Experience mentoring junior lawyers and leading multiple concurrent transactions. Preferred Background The successful candidates are likely to have experience advising on transactions involving: Power generation Renewable energy Energy infrastructure Utilities Project finance Acquisition finance Infrastructure investments Private equity transactions Candidates from leading corporate or energy-focused law firms with substantial exposure to the power sector will be particularly well suited. Eric also confirmed that power-sector M&A experience is the primary priority, with project finance or broader energy financing experience viewed as a significant advantage.
