Led by founding attorney Nadine Deeb, who is admitted in all three states and has prior experience as sole in-house counsel for a multistate technology company, the firm focuses on software and technology businesses from early-stage startups to established mid-size companies. Practice areas include outside and fractional general counsel, contract drafting and negotiation, SaaS and technology agreements, AI governance, corporate formation and transactions, employment documentation, trademarks, and business disputes. Role Description The Transactional Business Paralegal will support attorneys with contract drafting, review, and organization for software, SaaS, technology, corporate, and commercial agreements. Day-to-day responsibilities include preparing and formatting legal documents, maintaining contract templates, tracking versions, and managing signatures and closing checklists. The role involves conducting legal and factual research, organizing due diligence materials, and assisting with corporate governance, entity formations, and transactional filings. The paralegal will communicate with clients and counterparties to collect information, clarify document requests, and coordinate timelines, while ensuring accurate document review and quality control. This is a full-time, on-site role located in Scottsdale, AZ. Document Drafting Draft initial versions of commercial contracts, entity-formation documents, governance documents, employment documents, transaction documents, correspondence, and related materials from firm-approved templates, attorney instructions, and client-provided information. Draft employee handbooks, workplace policies, and related employment-law materials using firm-approved templates, attorney instructions, and client-specific information. Prepare revised drafts in response to attorney comments and instructions. Review source documents, deal terms, and client information for completeness; identify gaps, inconsistencies, and open items for attorney review or client follow-up. Format, proofread, organize, and quality-check drafts and supporting documents before attorney review. Assemble attorney-review packages that include the draft, key source materials, open issues, and all required attachments. Prepare execution-ready documents and signature packets after attorney approval, and maintain clean final versions in the matter file. Labor and Employment Support Conduct attorney-directed research on applicable federal, state, and local labor and employment laws, regulations, agency guidance, and other authoritative sources relevant to assigned client matters. Prepare concise research summaries, source materials, and issue lists for attorney review; promptly flag legal developments, fact gaps, and jurisdiction-specific issues requiring attorney analysis. Gather client information needed to tailor employment documents, employee handbooks, and workplace policies, including work locations, workforce structure, existing practices, and requested policy terms. Entity and Company Filings Prepare and submit attorney-approved entity-formation, qualification, amendment, dissolution, annual-report, and other company filings with the appropriate secretary of state or governmental authority. Prepare filing forms, obtain client signatures and required information, monitor filing status, and save confirmations and stamped documents in the matter file. Maintain entity records, including formation documents, governing documents, registrations, filed amendments, annual-report due dates, and related corporate records. Calendar recurring entity-maintenance deadlines and alert the supervising attorney to upcoming requirements. Trademark and Copyright Filing Support Gather, organize, and follow up on client information, specimens, ownership details, dates of first use, goods-and-services descriptions, authorship information, copies of works, and other requirements needed for attorney review of trademark and copyright filings. Prepare attorney-review intake packages and filing-support materials; track outstanding client items and route legal questions, classification decisions, clearance issues, and filing-strategy questions to the supervising attorney. Mergers and Acquisitions Support Assist attorneys with the due-diligence process by preparing and maintaining diligence checklists, collecting and organizing responsive documents, and tracking requests, responses, exceptions, and open items. Coordinate attorney-directed exchange of diligence requests, document productions, disclosure materials, and other transaction documents with clients, opposing counsel, and other transaction participants. Maintain orderly electronic data rooms and transaction files, including version control and records of documents received, produced, and approved. Prepare status summaries, closing checklists, signature packages, and other attorney-directed materials; promptly escalate missing documents, discrepancies, and issues requiring attorney review. Client Information and Requirements Follow-Up Communicate with clients to request missing documents, information, approvals, signatures, and factual details needed to prepare drafts, complete filings, or advance assigned work. Use attorney-approved questionnaires, checklists, and communications to collect information necessary for a matter. Track outstanding client requests and follow up promptly and professionally until the required information is received or the issue is escalated to the attorney. Route client requests for legal advice, legal interpretations, negotiation positions, or strategic decisions to the supervising attorney. Matter and Meeting Support Schedule calls and manage attorney correspondence. Follow up with prospective and current clients regarding their matters. Organize matter files, source materials, and document versions in accordance with firm procedures. Prepare agendas, draft documents, background materials, and outstanding-item lists for attorney and client meetings. Record attorney-directed action items following meetings; create tasks, calendar deadlines and reminders, and track completion of assigned follow-up work. Coordinate attorney-approved signature, filing, and closing logistics and maintain records of completed deliverables. Professional Standards Maintain accurate time entries for work performed, where applicable. Protect confidential client information and follow firm procedures for document management, client communications, and retention. Escalate legal, strategic, deadline-sensitive, or incomplete-information issues promptly to the supervising attorney. Qualifications Paralegal certificate, associate's degree, bachelor's degree, or comparable combination of education and relevant experience preferred. Experience drafting contracts or business documents is required . Prior experience in mergers and acquisitions or employment/labor law is helpful but not required . Strong written communication, proofreading, organization, and attention-to-detail skills. Ability to manage multiple assignments, follow established templates and instructions, and ask targeted questions when information is missing. Proficiency with Microsoft Office, including Word, Outlook, and Teams; Adobe Acrobat; electronic-signature platforms; and Clio or comparable legal-practice-management software. Work Environment and Expectations This position requires strong drafting discipline, close attention to detail, sound judgment, and a client-service mindset. The Paralegal must follow attorney instructions and firm procedures, work collaboratively with attorneys and staff, maintain confidentiality, and promptly escalate matters that require attorney judgment or client legal advice. Duties may evolve based on the firm's practice needs and the employee's demonstrated capabilities.
