Position Overview This position is ideal for a legal professional who enjoys working across multiple disciplines. While experience withSEC/FINRA
rules, regulations and securities matters is an important qualification, those matters arise only periodically. The primary focus of this role is to assist with the day-to-day legal operations of a growing real estate investment company. The successful candidate will work closely with executive management and Senior Counsel on a wide variety of legal matters, including commercial real estate acquisitions and dispositions, leasing, contracts, corporate governance, securities offerings, compliance, entity management, vendor agreements, employment-related matters, and risk management. Primary Responsibilities- Serve as the company's paralegal/legal assistant, supporting executive management across multiple affiliated companies.
- Draft, review, and negotiate commercial contracts, leases, vendor agreements, confidentiality agreements, employment-related agreements, and other legal documents.
- Support commercial real estate acquisitions, dispositions, financings, leasing transactions, and due diligence.
- Assist with securities offerings, Private Placement Memorandums (PPMs), subscription documents, regulatory filings, and corporate governance.
- Oversee entity formation, corporate maintenance, annual filings, and organizational compliance.
- Monitor legal deadlines, licensing requirements, and regulatory compliance.
- Research legal items affecting the company's real estate and investment businesses.
- Develop and improve internal legal systems, document management, and operational processes.
- Provide practical legal guidance to management on business decisions and risk management.
- Support executive management with strategic legal initiatives and special projects. Qualifications Required
- Paralegal experience.
- Experience with
SEC/FINRA
securities-related matters.- Strong contract drafting and negotiation skills.
- Commercial real estate transaction experience or strong interest in the field.
- Excellent organizational, analytical, and communication skills.
- Ability to manage multiple priorities in a fast-paced environment. Preferred
- Experience with private placements, broker-dealers, RIAs, or DST sponsors.
- Corporate governance and entity management experience.
- Prior in-house counsel or legal operations leadership experience.
- Experience managing outside counsel and legal vendors.
