Job Description
Key Responsibilities:
Assist with governance and entity management, including entity formation, maintenance, restructuring and related corporate filings, as well as maintaining legal entity databases, organizational charts, authority matrices and corporate records. Prepare and maintain board and committee materials, resolutions, written consents, meeting minutes and other governance documentation. Manage contract execution processes, including document routing, coordinating, reviewing and negotiating commercial contract, engagement letters and NDA, signature collection and post-closing administration. Support vendor onboarding, process improvement initiatives and other strategic projects across the legal department. Maintain document repositories, corporate governance policies and procedures, checklists relating to transactions, regulatory matters and contractual obligations, and other legal operations infrastructure. Support investment transactions, including securities offerings and financing transactions, by assisting with coordinating diligence materials and closing processes, organizing closing sets, maintaining transaction trackers and document repositories and monitoring UCC and other transaction related filings. Support fund formation, fund administration and investment management activities, including investor onboarding and ongoing fund operations, preparation and maintenance of subscription materials, AML/KYC documentation, side letters, investor records and other fund-related documentation and processes. Support the preparation, coordination and maintenance of regulatory filings, registrations and periodic reporting obligations applicable to investment advisers and private funds. Coordinate with stakeholders, including business units within Aquarian Holdings, portfolio companies and outside counsel to support legal department administration, including billing, invoices, budgets and general matter management.Qualifications:
Bachelor's degree, associate's degree in paralegal studies, paralegal certificate, or equivalent combination of education and relevant experience required. 5+ years of paralegal experience at a law firm, asset manager, investment adviser, private credit or equity firm, alternative asset manager or comparable financial institution preferred. Demonstrated ability to independently manage multiple priorities and drive projects to completion. Demonstrated experience supporting investment management, private funds, corporate, transactional and/or regulatory matters preferred. Demonstrated experience supporting fund formation, fund administration, investment adviser operations, investor onboarding processes or related investment management activities is a plus. Excellent organizational, written and verbal communication skills. Proficiency with Microsoft Office and strong attention to detail and commitment to producing high-quality work. Experience with legal operations tools, contract management systems (including Ontra, Ramp and similar vendors), legal entity management platforms, precedent and research portals (including Bloomberg and similar providers) and fund administrator interfaces is a plus. Candidates need not possess experience in all of the areas described above.
